Pinsent Masons advises Ferrovial on £385m acquisition of Enterprise

International law firm Pinsent Masons has advised on Ferrovial's £385m acquisition of UK-based utilities and government services company Enterprise from private equity house 3i.

Corporate Partner Gareth Hughes and senior associate Emma Shield led a cross-departmental team advising the Spanish infrastructure company on the transaction, which will double the size of its UK infrastructure services footprint. Enterprise will be combined with Amey, which was acquired by Ferrovial in 2003.

Simmons & Simmons has advised NASDAQ-listed company CECO Environmental on the acquisition of Aarding Thermal Acoustics B.V. ("Aarding").

Headquartered in the Netherlands, Aarding is a technology leader specialising in engineering, contracting and supplying acoustic components and exhaust systems for the natural gas, power and petrochemical industries.

SJ Berwin advises Deutsche Beteiligungs AG on majority acquisition of Formal D Group

Munich/Frankfurt/Berlin - Deutsche Beteiligungs AG and the private equity fund DBAG Fund V managed by it will acquire, in a management buyout, a majority shareholding in the Formel D Group from the current sole owners, Viola Metzner and Hans-Josef Orth. A corresponding purchase agreement was signed on 22 February 2013. Completion of the transaction is subject to clearance by cartel authorities.

Mylan - acquisition of Agila Specialties Private

Slaughter and May advised Mylan, Inc., the global generic and specialty pharmaceutical company, on its acquisition of Agila Specialties Private Limited, a developer, manufacturer and marketer of high quality generic injectable products from Strides Arcolab Limited for US$1.6 billion in cash. Agila, headquartered in Bangalore, India will bring Mylan a broad product portfolio of more than 300 filings approved globally and marketed through a network covering 70 countries.

Freshfields advises National Bank of Greece on all-share buyout of Eurobank

International law firm Freshfields Bruckhaus Deringer is advising longstanding client National Bank of Greece (NBG) on an all-share buyout of Greek lender Eurobank. The deal clears the way for a merger to form the country’s biggest lender.
NBG offered 58 new shares for every 100 shares of Eurobank. The combined entity will have total assets of €174 billion, loans of €113 billion and deposits of €85 billion based on their financial statements at end-September 2012 along with a significant presence in Turkey, Romania and Serbia.

Speechly Bircham advises Stratmin Global Resources PLC on reverse takeover and AIM Listing

Speechly Bircham has advised Stratmin Global Resources Plc, the AIM-listed graphite exploration and production company, on its £25.5m acquisition of Graphmada Equity Pte Ltd, a related placing of £1.5m convertible loan notes and readmission to AIM.

Graphmada Equity is a Singaporean company which owns advanced stage graphite mining operations in Madagascar.  It has recently completed the construction of a graphite processing plant at its principal Loharano project in eastern Madagascar and is scheduled to ramp up production over the next two quarters.

Addleshaw Goddard advises LDC on recent acquisition

Addleshaw Goddard has advised Lloyds Development Capital (LDC), private equity specialist, on its acquisition of ATG Access, a Haydock-based designer and manufacturer of anti-ram, access control and high security vehicle barrier systems.

The Addleshaw Goddard team, led by corporate partner Paul Medlicott with support from tax partner Ed Jenkins and corporate associate Chris Hardman, acted for the LDC throughout the transaction.
