DWF advises BURG-WÄCHTER on Sterling Locks acquisition

Business law firm, DWF, has advised leading German manufacturer, BURG-WÄCHTER KG, on the acquisition of British company, Sterling Locks Limited.

The move has seen BURG-WÄCHTER KG acquire 100 per cent of the shares of Sterling Security Limited, the UK parent company of Sterling Locks Limited, from the previous shareholders. Sterling Locks will continue to operate as an independent company within the Group.

Ashurst advises WorldPay on its acquisition of YesPay International Group of companies

Ashurst has advised WorldPay on its acquisition of the entire issued share capital of the YesPay International Group of companies, a leading international payments services provider.

WorldPay operates in over 40 countries and is a global leader in payment processing. The acquisition will enable WorldPay to leverage YesPay's technology, to offer customers a complete payment service, including merchant acquiring, card processing and payment terminals integrated with point of sale systems - allowing customers to take payments, in any form, online, face to face or mobile.

Herbert Smith Freehills advises TPG on its acquisition of Ingham Group

Herbert Smith Freehills has advised global private equity fund TPG International LLC on its acquisition of Ingham Group, the largest poultry supplier in Australia and New Zealand.

The transaction is the largest private equity M&A deal of the past 12 months. TPG was selected as preferred bidder following a competitive process involving multiple bidders.

Shoosmiths advises on Chase Templeton acquisition

Corporate specialists at Shoosmiths have helped one of the UK's leading private medical and protection insurance brokers make its first acquisition since securing growth funding.

Just weeks ago, the national law firm advised Chase Templeton Group as it won investment from funds managed by the Manchester office of Palatine Private Equity.

Now, Shoosmiths has helped Chase Templeton use some of that funding to purchase Hampshire-based UK Independent (Wessex) Ltd.

ILG has over 500 employees and operates 28 services in South East England providing residential care and supported living for adults with learning disabilities, Huntington’s Disease, Acquired Brain Injury, communication difficulties and additional complex needs.

WFW advises Isuzu Motors Limited on the acquisition of Isuzu Truck (UK) Limited

Watson, Farley & Williams LLP (“WFW”), a leading international law firm, is pleased to announce that it has advised Tokyo Stock Exchange-listed Isuzu Motors Limited, the Japanese manufacturer of commercial vehicles, light commercial vehicles and diesel engines, on its acquisition of the remaining issued share capital of Isuzu’s UK distribution company, Isuzu Truck (UK) Limited (“ITUK”).

Following completion of the acquisition, Isuzu has increased its shareholding in ITUK from approximately 15% to 100%.

DLA Piper advises net mobile on squeeze-out of net-m privatbank 1891 AG

DLA Piper successfully advised net mobile AG as the main shareholder listed in the segment of the Munich Stock Exchange on the squeeze-out procedure of net-m privatbank 1891 AG. The squeeze-out, which was resolved upon by the Extraordinary General Meeting on November 21, 2012, was entered into the Commercial Register on February 5, 2013 and became effective immediately, since no challenges to the resolution had been filed. The cash compensation to be paid by net mobile AG as main shareholder amounts to € 6.49 per share.
