Sidley Advises Kimmeridge Energy on Its Disposal of Kimmeridge GmbH

Sidley advised Kimmeridge Energy, a private equity asset manager focused purely on the energy sector, in connection with its disposal of Kimmeridge GmbH, its German exploration and production business, to the RDG platform, a joint venture of Petroleum Equity and RAG.

Sidley's London-based Private Equity team comprised partner Erik Dahl and associates Michelle Tong, Isabel Berger and Maud Graves. Support was also provided by Houston/New York partner Irving Rotter, co-head of Sidley’s Energy practice.

Ashurst advises CPC Group on disposal of Omni Capital Retail Finance

Ashurst advised Guernsey-based CPC Group, on the disposal of the entire issued share capital of Omni Capital Retail Finance Limited.

Under the terms of the deal Castle Trust will acquire 100% of the Watford-based online retail point-of-sale finance business from current owners CPC. Omni Capital Retail Finance, formerly Logical Finance, was bought by CPC in July 2013.

Vinge represents the sellers in the sale of Donya Labs to Microsoft.

Microsoft acquires the Linköping based company Donya Labs, developer of the Simplygon software for 3D games and VR applications. Among the sellers are the founders Ulrik Lindahl and Koshi Hamedi as well as SEB Venture Capital.

Vinge's team comprised Johan Larsson (M&A), Ulrich Ziche (M&A), Carl Sander (M&A), Mathilda Persson (Technology) and Niclas Thorgerzon (Technology).

Jacobs Holding AG acquisition of Colosseum Smile Group

Vinge together with Wiersholm advised IK 2007 Fund in connection with the divestment of Colosseum Smile Group, a leading dental care provider with a wide offering of dental care services, to Jacobs Holding AG. Colosseum Smile has 52 clinics in Norway, Sweden and Denmark, and the group has trippled in size since IK acquired Colosseum in 2010. The group's sales amounts to approx. NOK 1.2 billion.

Setterwalls assists majority owner in the sale of the Colosseum Smile Group

Setterwalls has assisted Elims Invest AB, one of two majority owners, with the sale of the Colosseum Smile Group to Jacobs Holding AG. Colosseum Smile Group is a leading provider of private dental care in Scandinavia with 52 clinics in Norway, Sweden and Denmark with an annual revenue that amount to NOK 1.2 billion.

Setterwalls’ team consisted of Mats Boman and Tobias Öd.

Roschier represented Atlas Copco in the sale of its Road Construction Equipment division to Fayat Group

Roschier represented Atlas Copco, a leading provider of sustainable productivity solutions, in the sale of its Road Construction Equipment division (the products are sold under the Dynapac trade name) to the French industrial and construction company Fayat Group.

The deal includes sales and service operations in 37 countries and production units in five countries, namely Sweden, Germany, Brazil, India and China. The business has 1 265 employees and revenues of approximately MSEK 2 900 (MEUR 309) in 2016.

De Brauw has advised Vitol Investment Partnership on divesting 50% of the shares in VTTI to Buckeye Partners.

Buckeye Partners, L.P. has acquired 50 percent shareholding in the holding company of VTTI for a consideration of USD 1.15 billion. VTTI is one of the largest independent global energy terminal businesses and Buckeye owns and operates a diversified network of integrated assets providing midstream logistic solutions. It is one of the largest independent liquid petroleum products pipeline operators in the United States.

RPC advises Besso Insurance Group on its acquisition by global brokerage company BGC Group

RPC, the City-headquartered law firm, has advised Besso Insurance Group, the leading Lloyd’s of London broker, on its acquisition (subject to completion) by BGC Group, the global brokerage company. Completion is subject to the satisfaction of customary conditions.

As part of the deal, ongoing management and employees have agreed to roll over a proportion of their existing Besso shareholdings into BGC shares, with Besso’s Colin Bird continuing as Chairman, and Robert Dowman and Russell Nichols becoming Joint CEOs post-completion.
