Hogan Lovells Advises American Midstream Partners on its Acquisition by ArcLight

American Midstream Partners, LP (NYSE: AMID) has announced that High Point Infrastructure Partners, LLC, a portfolio company of ArcLight Capital Partners, LLC, acquired 90 percent and control of American Midstream GP, LLC, the general partner of American Midstream, and 100 percent of the subordinated units of American Midstream, from AIM Midstream Holdings, LLC, an affiliate of American Infrastructure MLP Funds, LP. In addition, High Point concurrently purchased US$90 million of newly issued Series A convertible preferred units of American Midstream with a combination of cash and assets.

International law firm Pinsent Masons has advised Synova Capital on its disposal of DBG (UK) Limited to global alternative asset manager The Carlyle Group and Palamon Capital Partners.

Operating for over 20 years, dbg is a specialist healthcare support services provider of training, compliance support, engineering services, materials and equipment. Using a membership-based model, dbg works alongside over 8,000 dental, GP and veterinary practices throughout the UK, and is headquartered in Winsford, Cheshire.

Clifford Chance advised the founders of SilverTours GmbH on the sale of shares in SilverTours GmbH to SevenVentures GmbH, a company belonging to ProSiebenSat.1 Group.

SilverTours is based in Freiburg and Cologne and operates the website www.billiger-mietwagen.de, Germany's major price comparison platform in the car rental sector. One of the founders, Christian Mahnke, will continue to act as CEO.

Olswang has acted for the shareholders of MergerID on its completed disposal to NYSE quoted Intralinks Holdings Inc.

MergerID was established by its founder Daniel Confino and The Mergermarket Group, a division of the Financial Times Group, publisher of the Financial Times and FT.com.  The FT Group is a division of Pearson plc, the international media group.

Slaughter and May's Hong Kong office is advising Hengli Commercial Properties (Group) Limited ('Hengli'), a company listed on the Hong Kong Stock Exchange, on the disposal of a significant part of its interests in its subsidiaries to its controlling shareholder, Mr. Chen Chang Wei ('Mr. Chen'), for a consideration of approximately HK$1,311 million (US$168 million). The disposal constitutes a very substantial disposal and a connected transaction for Hengli under the Hong Kong Listing Rules. Completion of the disposal is a condition to the sale by Mr.

International law firm Hill Dickinson has acted for Fishawack Communications and its management team in a £13m transaction, which saw YFM Equity Partners exit the business in a secondary buyout to a new company backed by significant investment from London based equity house, Growth Capital Partners (GCP). The deal represents a 2x return on investment for YFM Equity Partners.
