CMS advises Global on its entry into Out-of-Home sector with dual purchase of Primesight and Outdoor Plus

International law firm CMS has advised Global, the Media & Entertainment group founded by Ashley Tabor OBE, on its simultaneous purchase of two key outdoor advertising assets – Primesight and Outdoor Plus. These acquisitions mark the expansion of Global’s business into the Out-of-Home space and will be the foundations of its new division, Global Outdoor.

Dentons advises Swiss augmented reality leader WayRay AG on US$80 million Series C round

Moscow—Global law firm Dentons has advised Swiss holographic augmented reality (AR) solution startup, WayRay, on its US$80 million Series C financing round. The round was led by German luxury carmaker, Porsche. In addition, Alibaba, Hyundai, China Merchants Capital, JVCKENWOOD and a consortium of sovereign wealth funds acquired stakes in the company.

Fieldfisher advises Frog Education on entry into Australian market

International law firm Fieldfisher has advised Halifax, UK-based Frog Education Limited on a critical deal that will see Frog take its cloud-based learning solutions into the Australian market for the first time.

Frog's partnership with a global educational supplier will see Frog's market-leading, cloud-based Progress solution (including learning spaces, portfolio and learning profiles) integrated with the supplier's software solution.

Fieldfisher advises in-game advertiser Bidstack on AIM float

International law firm Fieldfisher acted for advertising technology company Bidstack on its £6.8 million reverse takeover by Kin Group plc and its readmission to London's AIM market, as it seeks to harness the untapped potential of video game advertising.

A team led by corporate partner Brad Isaac advised Bidstack Ltd throughout the acquisition by Kin Group (now Bidstack Group plc), formerly a wellness tech company, and on the accompanying placing by Bidstack Group to raise £3.5 million.

Slaughter and May is advising United Energy Group Limited (UEG) in relation to its acquisition of Kuwait Energy plc for cash consideration of up to approximately US$650 million.

The acquisition was announced on 24 September 2018 and constitutes a major transaction under the Hong Kong Listing Rules.

WFW advises Commerz Real AG on acquisition of two onshore wind farms

Watson Farley & Williams LLP (“WFW“) has advised Commerz Real AG (“Commerz Real”) on a further German wind farm portfolio acquisition via its “CR Institutional Renewable Energies” closed-end special fund launched in autumn 2016.

Located in Germany’s Brandenburg region, the portfolio has a total installed capacity of 24 MW, comprising the three turbine Wustermark I and four turbine Schenkendöbern I wind farms. Both wind farms started operating in 2016.

Swedish industrial robot manufacturer AB Rotech Tooling sold its subsidiary AB Rotech (based in Turkey) as well as an affiliate to ABB Group, based in Zurich. Bryan Cave Leighton Paisner's M&A team, led by Dr. Staffan J. Wegdell and Dr. Hubertus Schroder, advised AB Rotech Tooling and its owner Joachim Aronsson in this transaction.

Through this acquisition, the listed Swiss technology company ABB strengthens its robotic welding solutions and particularly its capabilities in the automotive segment as supplier to OEMs and Tier 1 suppliers.
