CMS advises capiton/CymbiQ Group on the acquisition of anovis it-services and trading gmbh

CymbiQ Group AG, a portfolio company of the German private equity investor capiton, has acquired anovis it-services and trading gmbh, Vienna, Austria.

The acquisition of the Austrian managed security service provider marks the first step of CymbiQ Group AG in establishing a European cyber-security-group around ISPIN AG, Bassersdorf, Switzerland. In the future, the group shall pool the competences of several European service providers and offer a one-stop-shop for integrated security solutions.

Ashurst advises on the proposed sale of Merlon Petroleum to SOCO

International law firm Ashurst is advising Merlon International LLC, a Delaware company, in relation to the agreement to sell its subsidiary company Merlon Petroleum El Fayum Company, which owns oil & gas assets in Egypt, to SOCO International plc, which is listed on the Official List in London.

The company being sold is an oil & gas company incorporated in the Cayman Islands which owns a 100% operated working interest in the onshore El Fayum concession in the Western Desert in Egypt.

Gide, counsel to AddUp on acquiring a majority stake in Poly-Shape

AddUp, French leader in the design, creation and marketing of 3D metal printing machines and workshops, based in Clermont-Ferrand (central France), a joint venture between Fives and Michelin, has just announced the projected majority acquisition of Poly-Shape, a French SME that specialises in the design and production of parts using metal 3D printing.

This new majority stake acquisition enables AddUp to strengthen its offer for the automotive, medical and aeronautics sectors, making AddUp the up-and-coming player in additive manufacturing in France.

CMS advises ING on two financings in Ukrainian agribusiness sector

CMS has advised key client, ING Bank N.V. (ING), on two financings in the Ukrainian agribusiness sector.

ING, as arranger and bookrunner, has provided a USD 80 million syndicated pre-export finance facility to Nibulon – one of Ukraine’s largest seed and grain producers and exporters. The bank has also arranged the extension and increase to USD 100 million of the pre-export syndicated credit facility granted last year to ViOil – a significant vegetable oil producer and exporter.

KWM advises on reverse takeover of in-game advertising firm bidstack Limited

King & Wood Mallesons London-based corporate team acted for SPARK Advisory Partners Limited and Peterhouse Capital Limited, Nominated Adviser (Nomad) and Broker respectively, to Kin Group Plc, on its all share acquisition of bidstack Limited, provider of dynamic, targeted and automated in-game advertising for the global computer games industry.

The proposed acquisition received shareholder approval on 17 September 2018.

Trowers advise Peabody on third bond issue

Top 40 law firm Trowers & Hamlins advised Peabody Group on its recent £450 million bond, the Group's third bond issue in debt capital markets, attracting strong interest from investors.

£100m of the bonds have been retained for future sale with security for the total amount being provided upfront. This strategy provides added flexibility on sale timing in the future.

Partner Eleanor James and senior associate Simon Valner advised on banking aspects of the issue, with property charging work led by partner Melanie Comer.

It also advised on the terms of certain related financing, construction, operations and maintenance and power purchase arrangements. Hornsea 1 is currently under construction and will be the world’s largest offshore wind farm when commissioned in 2020.
