Gowling WLG advises Blackstone and Telereal Trillium on £1.46bn acquisition of Network Rail portfolio

International law firm Gowling WLG has acted for Blackstone Property Partners and Telereal Trillium on the £1.46 billion acquisition of Network Rail's commercial estate portfolio.

The firm partnered with Kirkland & Ellis to advise investment firm Blackstone and commercial property management company Telereal Trillium on the deal, which involved a portfolio of 5,200 properties across England and Wales including hotels, offices and restaurants.

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised JP Morgan Securities LLC, Citigroup Global Markets Inc., China International Capital Corporation, as the joint book-running managers and representatives of the underwriters in the listing of American Depositary Shares (‘the shares’) of 111, Inc. on the Nasdaq. The total offer value is estimated to be approximately US$100m (before the exercise of the over-allotment option). Trading of the shares commenced on 12 September 2018.

DLA Piper (Canada) LLP acted for Carnival Corporation in the US $290 million acquisition of the White Pass and Yukon Route from TWC Enterprises Limited

DLA Piper (Canada) LLP, in conjunction with DLA Piper LLP (US), acted for Carnival Corporation (“Carnival”) in the US $290 million acquisition of the White Pass and Yukon Route railway (”WPYR”) from TWC Enterprises Limited.

As part of the acquisition, the DLA Piper teams also represented Carnival in a second transaction related to the sale of a majority interest in WPYR to companies affiliated with Carrix, a global ports and logistics company, as well as certain shareholders of Carrix. Both transactions closed on July 31, 2018.

Clifford Chance Paris advises on €2.5 billion bond issue by Michelin

Clifford Chance Paris has advised Citigroup, Crédit Agricole CIB, Commerzbank, MUFG, Natixis, Santander and Société Générale on the issuance by Compagnie Générale des Etablissements Michelin of €2.5 billion bonds. The bonds have been admitted to trading on Euronext Paris on 3 September 2018.

Ashurst advises EnQuest on $175 million financing

International law firm Ashurst has advised EnQuest on the execution of a financing agreement for $175 million with funds managed by Oz Management. The financing is structured on a discrete 15% interest in the Kraken Field, the affiliate transfer for which is subject to normal regulatory approval, with repayment made out of the cash flows from this 15% interest.

Ashurst has advised on the finance, commercial and certain tax aspects of the transaction, working closely with EnQuest's general counsel Stefan Ricketts and senior legal adviser Dawood Ahmed.
