WFW advises on German VC investment in Iranian start-up Azki.com

Watson Farley & Williams (“WFW”) has advised a group of German investors on a venture capital investment in Iranian start-up Azki.com.

Azki.com is a new online Iranian insurance comparison platform where users can rate, comment on, compare and purchase products from providers. The site will also be expanding into other sectors going forward.

Sidley Advises TransUnion on Its Acquisition of Callcredit

Sidley is advising a wholly owned subsidiary of TransUnion, a U.S. consumer credit reporting company, on the purchase of the Callcredit group (Callcredit), the second largest credit reference company in the UK for £1 billion. Callcredit is being sold by the private equity firm GTCR LLC, which bought Callcredit in 2014. The deal is expected to close in Q3 2018.

Milbank Advises Star Energy Geothermal on Its US$580M Green Bond Issuance

Milbank, Tweed, Hadley & McCloy advised Star Energy Geothermal (Wayang Windu) Limited (“Star Energy”) in its US$580 million offering of 6.75% green bonds due 2023 under 144A and Regulation S of the Securities Act. The proceeds of the bond issuance will be used to refinance debt of Star Energy that had funded the acquisition of two geothermal assets, the Salak and Darajat geothermal fields.

Davis Polk advised CNOOC Limited as to U.S. and Hong Kong law in connection with the SEC-registered offering of guaranteed notes by CNOOC Finance (2015) U.S.A. LLC, a wholly owned subsidiary of CNOOC Limited, of its $1 billion 4.375% guaranteed notes due 2028 and $450 million 3.750% guaranteed notes due 2023, for a combined aggregate principal amount of $1.45 billion. The notes were listed on the Hong Kong Stock Exchange.

Vedanta Acquires Electrosteel in Indian Insolvency Resolution Process

Davis Polk is advising Lazard & Co., Limited as sponsor to Vedanta Resources plc on the acquisition by its Indian listed subsidiary, Vedanta Limited, of Electrosteel  Steels Limited pursuant to a corporate insolvency resolution process implemented by way of the Indian Insolvency and Bankruptcy Code 2016. The State Bank of India initiated insolvency proceedings against a number of Indian companies including Electrosteel in a bankruptcy court in June 2017.

MOL Global, Inc. is an investment holding company owning subsidiaries engaged in the business of internet media, computer games, e-distribution and e-payment and has a wide distribution network for virtual credits in Southeast Asia.

White & Case Advises Gamenet on High Yield Bond Issuance and Super Senior Revolving Credit Facility

Global law firm White & Case LLP has advised Gamenet Group S.p.A. on the issuance of its €225 million high yield Senior Secured Guaranteed Floating Rate Notes due 2023.

The notes have been listed on the Luxembourg Stock Exchange and offered and sold pursuant to Rule 144A and Regulation S under the Securities Act. A portion of the proceeds has been used to redeem Gamenet's existing €200 million Senior Secured Guaranteed 6% Notes due 2021.
