Permira Acquires Cisco’s Video Business

Fried Frank acted as counsel to Permira Funds in its definitive agreement to acquire Cisco's Service Provider Video Software Solutions (SPVSS) business for an undisclosed sum. The new company will encompass a broad portfolio, including Cisco's Infinite Video Platform, cloud digital video recording, video processing, video security, video middleware, and services groups. Cisco will retain the video and media technology related to its core business in networking, multi-cloud, security, data, and collaboration.

RoundShield Partners Raises Third Fund

Fried Frank advised RoundShield Partners LLP (“RoundShield”) on the successful raising of its third European special opportunities fund. The fund was almost three times oversubscribed and closed at its hard cap of €500 million within three months of launch. RoundShield now advises approximately $1.4 billion across three funds and several co-investment vehicles. Commitments were made primarily by existing institutional investors from the United States, the United Kingdom, and Europe.
 

Coveris Sells its Global Rigid Business for €700 Million

Dechert LLP is advising Coveris Holdings S.A., a premier global packaging manufacturer, in connection with the sale of its Global Rigid Business (“Global Rigid”) to Lindsay Goldberg LLC for a total consideration of €700 million. The proposed sale is subject to customary regulatory approvals. 

Coveris is a portfolio company of Sun Capital Partners. Upon a completion of the proposed sale, Coveris will be fully focused on the flexibles markets with 25 strategically located manufacturing facilities across five countries and over 3,800 employees.

The properties entail some striking monumental buildings in the Amsterdam city centre, light-industrial and large shopping centres throughout the Netherlands.

Universal Avionics is a developer and manufacturer of commercial avionics systems for the retrofit and forward-fit market, for a wide range of fixed and rotary aircraft types.

Baker McKenzie acts on L1 Investment Fund float

Baker McKenzie acted as legal adviser to National Australia Bank Limited (NAB) in its role as sole arranger and as legal adviser to the syndicate of Joint Lead Managers (which included Crestone Wealth Management, Morgan Stanley, Morgans Financial, Wilsons Corporate Finance, Ord Minnett and Taylor Collison) on the floatation of the L1 Long Short Fund as a listed investment company on the ASX.

The Fund successfully raised A$1.35 billion, making it one of the largest ever investment fund flotations in Australia.
