Jewel UK Bondco’s High-Yield Senior Secured Notes Offering

Cravath represented the initial purchasers, led by Goldman Sachs International, in connection with the £265 million 144A/Reg. S high-yield senior secured notes offering of Jewel UK Bondco PLC, a member of the Aurum Group, a leading multi-channel retailer of luxury watches in the United Kingdom. The notes were listed on The International Stock Exchange. The transaction closed on April 18, 2018.

Orrick Assists Chinese Investors in Obtaining Clearance for Acquisition of COTESA Under Germany’s New Foreign Trade Legislation

The acquisition of a controlling stake in COTESA GmbH, a leading manufacturer of fiber composite parts with 600 employees, by Changzhou QFAT Composite Material attracted great attention when it was agreed upon in the autumn of 2017.

Italy Litigation Team Scores a Historic Legal Victory for Hitachi Rail Italy spa

Hitachi Rail Italy spa, the Italian division of the Japanese giant, has secured a historic legal victory against Trenitalia, the primary train operator in Italy, thanks to an Orrick litigation team in Italy.

In reversing an established case law of the Court of Rome, the Rome Court of Appeal has recognized Hitachi’s right to revise prices for tens of millions of Euros – a right denied by Trenitalia – regarding the supply and maintenance of over 500 double-decker trains.

White & Case Advises Bank Syndicate on Capgemini's €1.1 Billion Notes Offering

Global law firm White & Case LLP has advised the bank syndicate led by Barclays, BNP Paribas, Citigroup, Crédit Agricole CIB, HSBC, Morgan Stanley, Natixis and Société Générale as joint lead managers on Capgemini's €1.1 billion notes offering. This offering is composed of a €600 million 1% notes due 2024 and a €500 million 1.75% notes due 2028.

The net proceeds of the €600 million offering have been used to refinance the existing notes due 2020, issued in 2015, by way of an intermediated tender offer.

Andres has 15 years of experience, the majority of which he has spent advising companies on and executing M&A transactions across a diverse cross-section of industries in Latin America.

He joins Baker McKenzie from Brookfield Asset Management, where he focused on transactions in the infrastructure and power generation sectors as a senior vice president in the asset manager’s Bogota office.
