Ropes & Gray Advises Ares on Sale of Cordium to ACA Compliance Group

Ropes & Gray has advised Ares Management on the sale of its portfolio company Cordium - a leading provider of governance, risk and compliance services - to ACA Compliance Group, a US-headquartered leading provider of risk management and technology solutions that focus on regulatory compliance, performance, financial crime, and cybersecurity. The transaction is expected to close in the summer, subject to regulatory approvals. The financial terms of the transaction have not been disclosed.

Gide and Yulchon advise KC Green Holdings on acquiring a majority stake in Clestra Hauserman

Gide and Yulchon law firms have advised Korean group KC Green Holdings, listed on the Seoul stock exchange and specialised in environmental technologies, on the acquisition of 67% of French removable office partitions specialist Clestra Hauserman. Current CEO Vincent Paul-Petit will hold the remaining 33% stake, via his company Industries & Commerces Investissements. Clestra Hauserman had been majority owned by Impala Industries since 2013.

Freeths supports Holovis expansion plans for Asia

The Corporate team at Freeths has recently advised Holovis International Limited and its shareholders in connection with a multi-million pound investment from asset management company Road King.

Road King, a Hong Kong based firm with its core business including investment, development, operation and management though Asia, now owns a minority stake in Holovis.

The Freeths team was led by Ateeq Ahmed and John Heaphy with specialist advice being provided by employment partner Rebecca Sawbridge, tax associate Richard Ferguson and corporate solicitor Amy Harron.

Freshfields advises Advent International on its proposed acquisition of Zentiva, Sanofi’s European generics business for €1.9bn

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) is advising Advent International (‘Advent’) in connection with its exclusive negotiations to acquire Zentiva, Sanofi’s European generics business for €1.9bn. Advent is a global investor, with over 25 years’ experience of investing in the healthcare sector. It has extensive experience of executing corporate carve-outs.

The transaction is expected to close by the end of 2018, subject to finalization of definitive agreements, completion of the appropriate social processes and approval of relevant regulatory authorities.

Osborne Clarke has advised Cenkos Securities plc and Numis Securities Limited on the successful £170 million cashbox placing for Breedon Group plc.

Breedon intends to use the net proceeds of the placing to part-fund the cash consideration of £455 million* payable in connection with the acquisition of Lagan Group (Holdings) Limited, a leading construction materials business based in Belfast.

Osborne Clarke advises on Scottish hydro energy funding deal

International legal practice Osborne Clarke has advised Aberdeen Standard Investments’ infrastructure debt team on its loan of over £43m to finance six operational hydro-electric schemes in Scotland.

 The hydro schemes are all accredited under the UK Government’s ‘Feed in Tariff’ programme, designed to subsidise and promote renewable energy generation. Participation in this programme ensures a fixed price per megawatt hour for the energy produced, protecting project revenues from fluctuations in electricity prices.

Herbert Smith Freehills is delighted to have advised NEXTDC Limited (NEXTDC) on its A$297 million fully underwritten institutional placement and non-underwritten share purchase plan, announced to the ASX on 17 April 2018 (Offer).

The institutional placement consists of a A$147 million general placement to institutional investors and a A$150 million cornerstone placement to UniSuper.

Herbert Smith Freehills advises Japan's Mitsui on second investment in Asian healthcare group

Herbert Smith Freehills has advised Japan's Mitsui & Co., Ltd. on its US$140 million investment in healthcare group Columbia Asia's latest funding round.

Mitsui first invested in Columbia Asia in July 2016. This latest investment doubles the Mitsui's stake in one of Asia's largest healthcare providers to a total interest of 26.09%. Herbert Smith Freehills advised on both transactions.
