Project Framework Agreement Signed for $3 Billion Greenfield Refinery Project in Uganda

Shearman & Sterling was appointed by managing investor Yaatra Ventures to represent the Albertine Graben Refinery Consortium (AGRC) in connection with the signing of an exclusive Project Framework Agreement for the development, financing, construction, operation and maintenance of a greenfield refinery project in Hoima District, Uganda (the Refinery Project).

Sdiptech AB is an engineering group with focus on urban infrastructures. The group provides niched services and products for both expanding and renovating fast growing cities.

Baker McKenzie advises DFDS on €950m acquisition of U.N. Ro-Ro

Baker McKenzie has advised DFDS, the leading Danish shipping and logistics company, on the acquisition of 98.8% of the shares of a for an enterprise value of EUR 950m, Turkey's largest operator of freight ferry routes in the Mediterranean. 

With this acquisition, DFDS expands its activities into the Mediterranean, one of Europe's most dynamic freight markets.

The transaction is expected to close in June 2018, pending approval by the Turkish, Austrian and German competition authorities.

King & Spalding Represents GSK on Strategic Agreement with Orchard Therapeutics

King & Spalding’s London office advised leading pharmaceutical company GSK on the transfer of its portfolio of approved and investigational rare disease gene therapies to Orchard Therapeutics Limited.

Under the agreement, GSK will become an investor in Orchard Therapeutics, receiving a 19.9% equity stake along with a seat on the company’s board. GSK will also receive financial consideration in the form of royalties and milestone payments on the acquired portfolio.

AkzoNobel, a leading global paints and coatings company and major producer of specialty chemicals, announced the sale of 100% of its specialty chemicals business to The Carlyle Group and GIC for an enterprise value of €10.1 billion. Milbank is representing the lead arrangers and underwriters, including Barclays, HSBC, JPMorgan, Citigroup, Credit Suisse, Deutsche Bank, RBC, UBS and others in providing the debt financing to support Carlyle and GIC’s acquisition.

PAG Invests in Joyson Safety Systems to Fund $1.58 Billion Acquisition of Takata Assets

Paul, Weiss represented Asia-based private equity firm PAG in its investment in Joyson Safety Systems. As part of the transaction, its parent, Ningbo Joyson Electronic Corporation, injected its existing business into Joyson Safety Systems which then acquired substantially all of the global assets of Japan-based Takata Corporation for $1.58 billion out of cross-border bankruptcies in the United States and Japan.  The acquisition of Takata assets was funded using a combination of debt and equity.
