DLA Piper wins significant victory for Nike

DLA Piper won a significant victory for its client, Nike, Inc., in a dispute brought by plaintiff Cellspin Soft Inc., over alleged infringement of three data uploading patents by Nike and a dozen other defendants related to the sale and marketing of fitness trackers and other electronic devices. Judge Yvonne Gonzalez Rogers of the United States District Court for the Northern District of California granted Nike's motion to dismiss and found that each of the claims were invalid under 35 USC 101 on the grounds that the claims were not directed to patentable subject matter.

CMS advises Danish textile firm Kvadrat on acquisition of SAHCO out of insolvency

Danish textile company Kvadrat A/S has acquired long-established firm SAHCO Hesslein GmbH & Co. KG out of insolvency. The Scandinavian group is aiming to boost its international presence through the acquisition, which will take effect from 1 May 2018. The parties agreed not to disclose details of the purchase price.

A CMS team headed by Joachim Kühne and Dr Regine Hagen-Eck advised the Kvadrat A/S group on all legal aspects of the transaction.

King & Wood Mallesons (KWM) has advised affiliates of Värde Partners (as outgoing senior lender and incoming equity holder), Deutsche Bank AG (as incoming senior lender) and AMAL Management Services (as outgoing facility agent and security trustee), on the A$1.2 billion restructure, recapitalisation and refinancing of the Bis Industries group, an Australia-based materials handling and resource logistics provider.

Eversheds Sutherland acts for Shell on US$329 million strategic divestment in Oman

Eversheds Sutherland has assisted Shell on the strategic sale of Shell Exploration and Production Oman Limited (SEPOL) to Indian Oil Corporation subsidiary IOCL Singapore PTE Ltd, in a transaction worth US$329 million.

As a result of the deal, Indian Oil Corporation will hold a 17% interest in the Mukhaizna Production Sharing Agreement in Oman, as well as the Marketing Rights for entitlement oil. The sale is part of Shell’s wider strategy to sell non-core assets or companies to meet its divestment target of US$30 billion.

Davis Polk Advises Red Star on Its HK$4.6 Billion Proposed Voluntary Offer to Repurchase H Shares

Davis Polk is advising Red Star Macalline Group Corporation Ltd. on its HK$4.6 billion (approximately $590 million) proposed voluntary conditional cash offer to repurchase 388,917,038 H shares at HK$11.78 per H share, representing 9.87% of Red Star’s total issued share capital. The offer is subject to, among other things, approvals by the shareholders and bondholders of Red Star.

Baker McKenzie advised ITB-Med in connection with an equity investment of $67 million

ITB-Med AB (Publ) has announced the completion of an equity investment of up to $67 million, led by Mr. Pablo Legorreta, the founder and CEO of Royalty Pharma.

ITB-Med is a biopharmaceutical company focusing on the development of specific immunomodulatory biologics for use primarily in organ and stem cell transplantation.

The funding will allow ITB-Med to continue to optimize its research efforts led by world-class researchers and clinicians to develop groundbreaking treatments for transplant patients.
