Secondary Offering by Naspers of $9.8 Billion of Tencent Shares

Davis Polk advised the placing agents in connection with the sale of 189,978,300 shares of Tencent Holdings Limited by a subsidiary of Naspers Limited for a total consideration of approximately $9.8 billion.

Tencent is an investment holding company involved in the provision of social media products Weixin and QQ, online advertising services and infrastructure services including payment, security, cloud and artificial intelligence. Tencent’s shares are listed on the Main Board of The Stock Exchange of Hong Kong Limited.

Greenberg Traurig advised OTB Ventures on one of the first venture capital transactions involving an entity from the US

The Warsaw office of international law firm Greenberg Traurig, LLP advised OTB Ventures, one of the first specialized venture capital funds in Poland, on a pioneer seed funding transaction on the Polish market relating to Cosmose Inc., an American company specializing in new technologies.

Greenberg Traurig provided multidisciplinary legal advice with respect to the transaction, including development of the transaction structure and negotiations of all transaction documents.

Baker McKenzie advises Immunovia in connection with its listing on Nasdaq Stockholm

Immunovia has been approved for listing on Nasdaq Stockholm. The approval is subject to customary conditions. Immunovia was previously listed on Nasdaq First North Premier.
 
First day of trading on Nasdaq Stockholm is scheduled for 3 April 2018, and the last day of trading on Nasdaq First North Premier is scheduled for 29 March 2018.

McDermott Advises DBV on Its Capital Increase of 140.8 Million Euros

PARIS (March 29, 2018) – International law firm McDermott Will & Emery advised DBV Technologies (DBV) - a French clinical-stage biopharmaceutical company, on its capital increase by public offering in the United States, Canada and certain other countries outside Europe and by private placement in Europe (including in France).

DBV, listed on Euronext Paris and on the Nasdaq, raised 140.8 million euros following the exercise of the over-allotment option.

Shinhan Bank Completes US$400 Million Tier II Subordinated Notes Offering

Simpson Thacher, acting as sole international counsel, represented BNP Paribas, Commerzbank Aktiengesellschaft, Credit Suisse (Hong Kong) Limited, The Hongkong and Shanghai Banking Corporation Limited, Merrill Lynch International, LLC Seoul Branch, Mizuho Securities Asia Limited, Shinhan Asia Limited and Shinhan Investment Corp., as joint lead managers in connection with the offering of US$400 million of 4.5% Tier II Subordinated Notes due 2028 by Shinhan Bank under its US$6 billion Global Medium Term Note program. The offering was conducted in reliance upon Regulation S under the U.S.

DLA Piper advises Lux Capital Management on recent round of Series A funding

DLA Piper represented Lux Capital in its recent investment in Arraiy, Inc., a computer vision and machine learning platform for special effects. Lux Capital led Arraiy's US$10 million Series A financing together with SoftBank Ventures. Dentsu Ventures, Cherry Tree Investments, IDG Capital and CRCM Ventures also participated in the round. Lux partner, Shahin Farshchi, joined Arraiy's Board as part of the financing.

Slaughter and May advised Richemont on the issuance by Richemont International Holding S.A. of EUR 1.5bn 1% notes due 2026, EUR 1.25bn 1.5% notes due 2030 and EUR 1.25bn 2% notes due 2038. The notes are guaranteed by Compagnie Financiere Richemont SA and listed on the Luxembourg Stock Exchange.

CMS advises anchor shareholder 7-Industries in the IPO of Sensirion

CMS advises Bethmann Bank on relocating its headquarters to Frankfurt’s Marienforum

Frankfurt/Main – Frankfurt-based Bethmann Bank is set to become the anchor tenant in Frankfurt’s Marienforum, occupying some 8,000 square metres of office space. The bank, which is part of the Dutch ABN AMRO group, will relocate to the new premises in the first quarter of 2019. The private bank is thus leaving its existing Bethmannhof headquarters after more than 250 years. The landlord is developer Pecan Development, acting on behalf of Perella Weinberg Real Estate Fund II LP. The lease has a ten-year term.

CMS advises Hirmer Group on successful acquisition of Travel Charme Hotels & Resorts

Leipzig – The Hirmer Group has acquired Travel Charme Hotels & Resorts, one of Germany’s leading resort and holiday hotel chains. The transaction sees the Munich-based family-owned business extending its existing fashion and real estate portfolio to include hotels. The parties agreed not to disclose details of the purchase price.

An international CMS team headed by lead partner Dr Jochen Lux advised the Hirmer Group on all legal aspects of the transaction.
