International legal practice Osborne Clarke has advised Angelo, Gordon & Co and APF International on the purchase of office buildings at the Sarphatistraat 8-14 in Amsterdam, from sellers Arkin Foundation.

The buildings of more than 2,000 square meters are conveniently located in the centre of Amsterdam, near the Amstel river. The joint venture will see them renovated to a high standard and, after completion, positioned as offices in the market.

CMS advises underwriting banks on successful placement of Sixt SE bond for EUR 250 million

Frankfurt/Main – Sixt SE has successfully placed a bond worth EUR 250 million with German and international investors.

The joint lead managers of the issue were Bayerische Landesbank, Commerzbank Aktiengesellschaft and Deutsche Bank Aktiengesellschaft. A team headed by CMS partner Oliver Dreher advised the banks on the issue. The team led by Dreher has also previously acted on behalf of the banking side in capital market transactions involving SIXT SE.

CMS advises VTB Group on the merger of its European operations under a single banking license and on the establishment of VTB Europe SE

Frankfurt/Main - On December 29, 2017, VTB Group completed the realignment of its European operations. VTB Bank (Europe) SE was established through the cross-border merger of VTB Bank (Austria) AG into VTB Bank (Deutschland) AG and the subsequent cross-border merger of VTB Bank (France) SA into VTB Bank (Europe) SE, which now operates under a single banking license.

An international CMS-team led by CMS Germany advised VTB Bank comprehensively on this complex transaction.

ArcPac Garage Doors is involved in the manufacture, distribution and sale of garage doors for the domestic and export markets. The company operates throughout Australia, and is administered by its head office in Darra, Queensland.

Baker McKenzie advices Keesing Media Group on the acquisition of Bonnier Magazines & Brands’ portfolio of puzzle magazines.
 
Keesing Media Group is the largest publisher of puzzle magazines in Europe, owned by the investment fund Ergon Capital Partners.
 
The acquisition, which is a transfer of business, is subjected to customary terms and is expected to be completed in spring 2018. Principal participants from Baker McKenzie are Costin Mihailescu, Tobias Edenman, Johan Zetterström and Kristina Dunbring.

OMERS completes US$266 million investment in HDFC of India

Jones Day advised OMERS, the pension plan for Ontario's municipal employees, in connection with its US$266 million investment of Equity Shares of Housing Development Finance Corporation Limited (“HDFC”), India's largest private sector lender. The investment forms part of an aggregate US$1.75 billion fundraising by HDFC, undertaken by way of a preferential allotment of Equity Shares to OMERS, KKR, GIC, Carmignac Group, and Premji Invest.

Davis Polk Advises Temenos on Its £1.4 Billion Recommended Cash Offer for Fidessa

Davis Polk is advising Temenos Group AG in connection with its £1.4 billion recommended cash offer to acquire the entire share capital of Fidessa group plc. Fidessa shareholders will receive £35.67 in cash for each share together with a final and special dividend of 79.7 pence per share. Credit Suisse have provided a senior unsecured bridge facility to finance the offer. The offer, that will be implemented by way of a U.K. scheme of arrangement, is subject to regulatory and antitrust approvals and other customary conditions.
