DLA Piper (Canada) LLP advises Tidewater Midstream and Infrastructure Ltd. on $125 million private placement of senior notes

DLA Piper (Canada) LLP represented Tidewater Midstream and Infrastructure Ltd (TSX: TWM) in the issuance of $125 million aggregate principal amount of 6.75% senior unsecured notes due 2022, by way of a private placement. The private placement successfully closed on December 19, 2017. Tidewater will use the net proceeds from the private placement for repayment of indebtedness under its existing credit facility, drawn to fund its various capital projects, and for general corporate purposes.

DLA Piper has advised the founding shareholders of Deekeling Arndt Advisors in Communications GmbH (DAA) on the sale of the majority of their shares to Havas Group. The founders Egbert Deekeling and Olaf Arndt who prior to the transaction held the majority of shares and also lent their names to DAA, will remain in charge over the long term and continue to head over the company’s operative business as shareholders and managing directors. The company name will also remain unaffected.

Based in Côte d’Ivoire, Burkina Faso, Mali and Niger, Afric Power and Tieri employ over 140 people who specialise in the design, installation and maintenance of electrical systems and automated control mechanisms in West Africa. In acquiring Afric Power and Tieri, ENGIE gains a strong local foothold to boost its development in energy services in Central and West Africa.

DLA Piper advises Active Ownership Capital on the acquisition of brake system manufacturer PINTSCH BUBENZER

DLA Piper has advised the Luxembourg-based investment company Active Ownership Capital on the acquisition of PINTSCH BUBENZER, a leading provider of industrial brakes and subsidiary of Schaltbau Holding AG.

The acquisition was made jointly with Swedish Dellner Group-owned Dellner Brakes AB, which also provides industrial brakes. The agreement is part of a structured selling process and is expected to be completed by the end of February.
