CMS advises Capital Stage AG on successful issue of participation certificates

CMS has advised SDAX-listed Capital Stage, a Hamburg-based solar and wind farm operator, on agreeing a long-term strategic partnership with insurer Gothaer Versicherungen.

A team led by lead partner Oliver Dreher advised the company on all legal aspects of structuring and implementation. CMS also worked on the two previous capital increases and the payment of a scrip dividend by Capital Stage AG.

Haavind has assisted Statnett in relation to alleged violations of applicable legislation for cable connections in the outer Oslofjord

Norwegian Water Resources and Energy Directorate (NVE) believed Statnett had violated energy legislation in relation to operation and preparedness around the cable connection, and imposed a NOK 30 million penalty fee on Statnett. Statnett strongly disagreed that the firm had violated any requirements set out in energy legislation, and in a complaint Statnett argued that there was no basis for claiming that the company had acted willfully or negligently.

Ashurst advises Peabody Energy on Glencore joint venture

Ashurst has advised Peabody Energy Australia in its coal joint venture with Glencore in NSW's Hunter Valley. Peabody Energy announced an agreement to establish a joint venture between  its Wambo Open-Cut Mine and Glencore's United Mine. The 50-50 joint venture will combine Wambo's Open-Cut mining operations with United's adjacent reserves in the Hunter Valley.

Clifford Chance advises Salamander Energy on recommended offer from Ophir

Clifford Chance has advised Salamander Energy plc, a South East Asia-focused independent oil and gas exploration and production company listed on the main market of the London Stock Exchange, on its recommended offer from Ophir Energy plc. Ophir Energy is a UK listed oil and gas group with interests in Africa.

Under the terms of the offer, Ophir has offered 0.5719 of its own shares for each Salamander share, valuing Salamander at an indicative value of approximately £314 million.

Advising Neoen in connection with the development and financing of Europe’s largest photovoltaic park

Advising Neoen in connection with the structuring, development, negotiation of the industrial contracts and with the financing of the construction of Europe’s largest photovoltaic park by the consortium comprising Eiffage(Clemessy), Schneider Electric and Krinner.

This park comprising 25 power plants developed by Neoen, represents a total combined output of 300 MW and will be located in Cestas (Gironde).

McCann FitzGerald advises Kinsale Energy on its acquisition of a majority stake of Midleton/East Kinsale

We advised Kinsale Energy on its acquisition of a majority stake of Midleton/East Kinsale gas from Lansdowne Oil and Gas. Under this agreement, Kinsale Energy will acquire an 80 per cent interest in the licence offshore Ireland, fund 100 per cent of the cost of drilling a well on the Midleton prospect and fund Lansdowne’s share of the cost of any testing programme up to $2.5 million (€2 million).

Herbert Smith Freehills has advised BWSC Power Corporation Limited (BPCL), a joint venture between Danish power plant developer BWSC and Danish fund Copenhagen Infrastructure I (CII), in relation to the £170 million acquisition and development of the 44.2MW straw fuelled Snetterton biomass plant in Norfolk, UK.

Burges Salmon advises Mersey Bioenergy on largest waste wood renewable energy facility in the North West

Energy sector experts from Burges Salmon have advised project company Mersey Bioenergy Ltd on a new £110 million project to construct a Combined Heat and Power (CHP) plant in Widnes, Merseyside.

The Burges Salmon team, which was led by partners Ross Fairley and Graham Soar with expertise drawn from around the firm’s award winning Energy sector group, advised Mersey Bioenergy Ltd on legal matters including the real estate, fuel supply agreements, construction package, heat and electricity offtake arrangements as well as the financing and equity documents.

Schjødt acts as legal advisor to the acquiror of Prospector Drilling

Paragon Offshore plc announced on Monday morning 17 November 2014 that it had acquired more than 55% of the shares of the Oslo Axess listed company Prospector Offshore Drilling S.A., followed by a new announcement later the same day, where it was informed that more than 90% of the shares had been acquired. Schjødt acted as Norwegian legal advisor to Paragon Offshore in connection with the acquisition.
