Charles Russell Speechlys advises the sellers and the management on secondary buyout of Nerim

Charles Russell Speechlys has recently acted as legal adviser to the sellers and management of Nerim in relation to Nerim’s secondary buyout by Dzeta Conseil, on the basis of a corporate value between 65M and 80M€. Nerim is a French B2B telecoms operator which was founded in 1999 and based in Paris.

LETT wins Memory Card Technology appeal

The Danish Supreme Court delivered judgment in the appeal case concerning a claim for damages against the former auditors of Memory Card Technology A/S. The Supreme Court ruled in favour of the auditors and thereby set aside the High Court judgment delivered by the Western High Court in 2013. LETT conducted and won the appeal case before the Supreme Court on behalf of the two accounting firms.

The Memory Card case is one of the largest cases about auditors' and directors' liability in Denmark.

Hamburg – ALPHA Business Solutions AG and the proALPHA Group are being merged into a joint company trading as proALPHA Business Solutions. In the course of the merger, the SAP Business ByDesign division will be hived off from ALPHA Business Solutions AG. all4cloud GmbH & Co. KG is acquiring the business, which focuses on the leading cloud ERP solution from SAP. Following the merger, the proALPHA Business Solutions Group will have more than 700 employees, 1,700 customers in some 50 countries and 12 branches in Germany alone.

Acquisition in the ridesharing-sector: French BlaBlaCar, the world's largest long-distance ridesharing platform, has acquired carpooling.com GmbH, the German operator of Mitfahrgelegenheit.de and Mitfahrzentrale.de. Sellers were inter alia Daimler AG, the Venture Capital firm Earlybird as well as private shareholders.

Through this acquisition, BlaBlaCar has become the leading provider of ridesharing services in Germany and Europe. Mitfahrgelegenheit.de and Mitfahrzentrale.de are internet portals of Munich based carpooling.com GmbH.

Roschier represents Nokia in its proposed exchange offer for Alcatel-Lucent

Roschier represents Nokia in its proposed combination with Alcatel-Lucent through Nokia making a public exchange offer for all the securities issued by Alcatel-Lucent. The transaction values Alcatel-Lucent at EUR 15.6 billion on a fully diluted basis.

Through the combination, Nokia and Alcatel-Lucent intend to create an innovation leader in next generation technology and services for an IP connected world. The proposed transaction is the largest acquisition ever by a Finnish company.

Olswang advised India’s ecommerce marketplace Snapdeal on its acquisition of FreeCharge

International technology, media and telecoms law firm Olswang advised leading Indian ecommerce marketplace Snapdeal on its acquisition of FreeCharge, India's largest online mobile pre-paid recharge and bill payment platform. The deal, which was announced on 8 April, is considered India's largest cross-border consumer internet deal to date and likely makes Snapdeal the country's largest mobile commerce platform.
