SH advises on £122m subsidiary disposal and simultaneous London IPO

Stephenson Harwood has advised CSE-Global Limited on the sale of one of its wholly owned subsidiaries, Servelec Group plc for £122 million. Contemporaneously with the sale, which completed on 2 December 2013, Servelec was admitted to the Official List and to trading on the premium segment of the main market of the London Stock Exchange. Servelec's market capitalisation on admission was £122 million. Stephenson Harwood advised CSE-Global, Walker Morris advised Servelec and Investec Bank plc ("Investec") acted as sponsor, financial adviser, sole bookrunner and broker to CSE-Global.

Travers Smith advises Arria NLG plc on its admission to AIM

Travers Smith led by corporate finance partner Anthony Foster has advised Arria NLG plc on its admission to AIM by way of introduction. Travers Smith have advised Arria NLG, over the past 18 months, on its investment in Data2Text Limited (a spin-out from the University of Aberdeen) and on several rounds of private pre-IPO fundraising culminating in the acquisition of the shares in Data2Text which it did not own, and its listing on AIM of both shares and warrants.

Wierzbowski Eversheds successfully defends FS File Solutions - administrator of Chomikuj.pl

The Warsaw Court of Appeal ruled that a claim by 15 publishers against the administrator of the website Chomikuj.pl, FS File Solutions, represented by Wierzbowski Eversheds, cannot be heard under the Act on Pursuit of Claims in Group Proceedings of 17 December 2009. The order of the court is legally final.

SH advises on Kalibrate Technologies PLC's IPO and AIM admission

Stephenson Harwood has advised  Kalibrate Technologies on its placing and admission to trading on the AIM market of the London Stock Exchange, which occurred on 29 November 2013. Market capitalisation on admission was £26.2 million. Stephenson Harwood advised Kalibrate and N+1 Singer Advisory LLP acted as nominated advisor and sole broker to Kalibrate.

DLA Piper represents ACTIVE Network in $1.05 billion private equity deal

DLA Piper represented ACTIVE Network, a San Diego-based software company, in its $1.05 billion acquisition by Vista Equity Partners, the largest Internet leveraged buyout in 2013.

Vista acquired all of the outstanding shares of ACTIVE Network’s common stock for $14.50 per share in cash, representing a premium of approximately 111 percent to ACTIVE Network’s year to date average closing stock price at the time of the announcement of the acquisition.

Linklaters advises P&I Personal & Informatik AG on takeover bid

Kallisto Neunzigste Vermögensverwaltungs GmbH, a company owned by the financial investor HgCapital, has signed a purchase agreement on the acquisition of Argon GmbH, the majority shareholder in P&I Personal & Informatik AG, and also intends to make a voluntary public takeover offer to P&I Personal & Informatik AG’s shareholders. Argon GmbH was previously owned by the financial investor Carlyle.
