SMIC's - US$200m issue of convertible bonds and further issue of convertible bonds to CIC and Datang Technology

Slaughter and May, Hong Kong, advised Semiconductor Manufacturing International Corporation (SMIC) in relation to its issue of US$200 million zero coupon convertible bonds due 2018 (the Bonds). The joint managers for the issue were J.P. Morgan Securities plc and Deutsche Bank AG, Hong Kong Branch. The Bonds were listed on the Singapore Stock Exchange on 8 November 2013.

Travers Smith acts on the acquisition of GTS by Deutsche Telekom

A Travers Smith team led by private equity partner Philip Sanderson and senior corporate associate Adam Orr has advised Deutsche Telekom on its acquisition of GTS Central Europe for a total consideration of €546m.

Deutsche Telekom is acquiring GTS from a consortium of international private equity firms, including Columbia Capital, HarbourVest Partners, Innova Capital and M/C Partners.  The transaction is subject to regulatory approvals.

Starbucks (HK) Ltd v British Sky Broadcasting Group Plc: victory for Sky in trade mark infringement case

King & Wood Mallesons SJ Berwin Intellectual Property team acted for Sky in its successful defence to a claim for trade mark infringement and passing off (the law that protect unregistered trade marks in the UK) brought against it following the launch of NOW TV, its OTT internet television service. The claim was brought by Starbucks (HK) Limited (no relation to the coffee chain) and other members of the Hong Kong broadcasting group PCCW, which operate a “now” television service in Hong Kong.

A cross-border team led by Prague-based partner Alex Cook is advising Telefónica, S.A. on the sale of a 65.9% shareholding in Telefónica Czech Republic, a.s., including its 100%-owned subsidiary Telefónica Slovakia, s.r.o. (Telefónica CR / Telefónica SK), to investment firm PPF Group for a total consideration of CZK 63.6 billion (€2,467 million).

The terms of the deal are confidential.
 
Interactive Ideas is a leading UK VAD of enterprise software focused on IT infrastructure solutions, founded in 1994 by Michael Trup and Grahame Fernback.
 

US Norton Rose Fulbright litigators stop a $6MM suit against Golf Channel

A team of Dallas Norton Rose Fulbright lawyers, led by Ted Daniel, obtained a summary judgment for Golf Channel and dismissal of all fraudulent transfer and unjust enrichment claims brought by the Receiver and Investors Committee of R. Allen Stanford’s $7 billion Ponzi scheme. 

Golf Channel, a subsidiary of NBCUniversal, is a cable and satellite television network that focuses on golf sports coverage.
