Slaughter and May is advising Reliance Communications (RCOM) on its transaction with Maxis Communications Berhad (MCB) to combine RCOM’s Indian wireless business with Aircel.

The transaction is the largest-ever consolidation in the Indian telecom sector and will create an operator clearly ranked in the top 4 operators in India by customer base and revenues. The merged company will have combined assets of $9.7 billion (INR 65,000 crore) and net worth of $5.2 billion (INR 35,000 crore).

Etera, Onvest and Fennia : The Mall of Tripla Shopping Mall and Parking Facility

We acted as counsel for Etera Mutual Pension Insurance Company, Onvest Oy and Fennia Mutual Insurance Company in an arrangement whereby said investors agreed, together with YIT, on the execution of the project to construct the Mall of Tripla and its parking facility in central Pasila, Helsinki.

The overall value of the shopping mall and the parking facility, including the costs for design, plot and financing, is approximately EUR 600 million, of which one-half will be financed with capital investments from the owners and the remainder will be financed with project credit.

Ashurst advised DP World on a 30 year concession agreement, with an automatic 10 year extension, with the Government of the Republic of Somaliland to develop, operate, manage and maintain the terminal facilities at the port of Berbera in Somaliland. The recent win of the port concession, which was signed on 5 September 2016, adds to DP World's portfolio of over 75 terminals.

SiteMinder Opens New Base in Ireland - Advised by Matheson

Australian technology firm SiteMinder, the hotel industry’s leading cloud platform, announced in August its plans to create 100 jobs through the opening of a new office in Galway city. The company is expanding its global network which already includes offices in Bangkok, Dallas and Sydney, and their European headquarters in London. Ireland functions as a complementary location to service hotels within the region and globally. Matheson acted as Irish advisers on the project, which is supported by the Department of Jobs, Enterprise & Innovation through IDA Ireland.

Ashurst advises SGRF of Oman on US$50m agreement

Ashurst has advised State General Reserve Fund of Oman (SGRF) on an equity capital market agreement with Elemental Minerals Limited (Elemental), in a deal with a combined value of US$50 million.

SGRF has agreed to acquire shares and options in Elemental in an interdependent investment agreement with subscribers Sociedad Quimica y Minera de Chile S.A. (SQM) and Summit Private Equity (Summit).
