Mott MacDonald Unwinds Joint Venture With Hatch

Paul, Weiss client Mott MacDonald Group, a leading global management, engineering and development consultancy group headquartered in the U.K., unwound its joint venture with Hatch, a global multidisciplinary management, engineering and development consultancy group headquartered in Canada. The Hatch Mott MacDonald joint venture was founded in 1996 to provide engineering and professional services to the North American infrastructure market and grew into a major engineering and infrastructure business throughout the United States and Canada.

Roschier acts for Nokia in strategic brand and intellectual property licensing agreement

Roschier acts as the sole counsel to Nokia in a licensing deal that will see the NOKIA brand return to the mobile phone and tablet markets on a global basis.

Under a strategic agreement covering branding rights and intellectual property licensing, Nokia Technologies will enter into an exclusive global license with HMD global to create Nokia-branded mobile phones and tablets for the next ten years.

DLA Piper advises Bancobet on Joint Venture with Digibet

DLA Piper has advised the Bancobet Group, a fully integrated technology company in the gaming industry  headquartered in Gibraltar, on the consolidation of its business operations with the Digibet Group; a group of companies in the gaming industry. A joint venture company is being founded for this purpose which will operate under the name, 'United Game Tech'.  and is based in Malta. The newly created group combines the companies of the Digibet/Bancobet Group in order to assume a leading role in the gaming industry.

Nestlé Skin Health S.A. acquires majority stake in Guthy-Renker LLC

On March 24, 2016, Guthy-Renker LLC entered, subject to merger control clearances and other customary closing conditions, into a joint venture agreement with Nestlé Skin Health S.A. by which Nestlé Skin Health S.A acquired a majority stake in Guthy -Renker. The joint venture focuses on the global consumer acne market and unites Guthy-Renker’s consumer insights and digital expertise under the world’s leading non-prescription acne brand "Proactiv" with Nestlé Skin Health’s science-based innovation and expertise in skin health.

Haldex forms a joint venture with VIE

Haldex and VIE Science and Technology has entered into a joint venture agreement with the aim of designing, developing, producing and selling electromechanical brake systems for commercial vehicles with an initial focus on the electrical bus market in China.

According to the agreement Haldex and VIE will set up a joint venture where the parties own 50 % each. The joint venture company will operate under the name Haldex VIE (Kina) Electro Mechanical Brake Systems Co, Ltd, and be based in Shanghai, China.

DV4 forms joint venture with APG Asset Management and Qatari Diar Real Estate Investment Co. to create £1.4 billion (US$2 billion) home rental business in London with 4,000 homes

Jones Day represented DV4 Limited, which is advised by Delancey Real Estate Asset Management Limited, in connection with the formation of a £1.4 billion (US$2 billion) joint venture with APG Asset Management NV and Qatari Diar Real Estate Investment Co., to create a home rental business in London, with properties in the former Olympic athletes' village and the Elephant & Castle district. The venture, which is subject to regulatory approval, will manage 4,000 homes, of which 1,500 are already built and 1,000 are under construction.

Allen & Overy advises PAI Partners on joint venture between R&R Ice Cream and Nestlé

Allen & Overy is advising private equity fund PAI partners (PAI), owner of R&R Ice Cream on its 50/50 joint venture with Nestlé to form a new entity which will be called Froneri.

The joint venture covers more than 20 markets in Europe, the Middle East, Africa, South America and the Philippines, and will employ more than 15,000 people.

CMS Brazil advises CTS Eventim on ticketing joint venture with Sony Music

CTS Eventim, one of the world’s leading ticketing and live entertainment companies, aims to consolidate its position as a market leader in Brazil during the next 12 months, and then use the joint venture as a platform to expand across South America.
