Edwin Coe advises Stratex International plc on £1.25m investment and a new joint venture

Edwin Coe's corporate team acted on two recent transactions for Stratex International plc, the AIM quoted exploration and development company.

Russel Shear, Head of Corporate, advised Stratex on an investment of 34% of the issued share capital of Goldstone Resources Limited, also an AIM listed company, for a £1.25m investment. In addition, Stratex were granted warrants to subscribe for further shares in Goldstone which, if exercised, would give it 50.1% of Goldstone.

DLA Piper advises Sigma Capital on UK's largest PRS deal

DLA Piper has advised Sigma Capital Group Plc, the residential and urban regeneration specialist, on its strategic partnership with the UK's largest listed residential property owner and manager, Grainger, creating a vast Private Rental Sector (“PRS”) portfolio across a number of key cities outside London.

This is the largest UK PRS deal aimed at the development and letting of upwards of 9,000 private rented units over the next five-six years with a envisaged total investment of over £1bn.

Eversheds brings solar projects to light in Jordan

Eversheds has advised Scatec, a leading solar energy provider, on a joint venture to construct and operate three solar energy projects in Jordan.
The projects will be developed jointly by Norwegian company Scatec Solar and its Jordanian partners, Quest Energy Investment LLC, European Jordanian Renewable Energy Projects LLC and Greenland Alternative Energy LLC. Scatec Solar will construct the plants and in addition provide operation and maintenance services when the plants are finalised and in operation.

Freshfields advises CEPSA on UAE joint venture with Cosmo Oil

Freshfields Bruckhaus Deringer has advised Compañía Española de Petróleos, SAU (CEPSA) on its entry into a joint venture to operate in the United Arab Emirates with Cosmo Oil Co. Limited (Cosmo Oil).

Wholly-owned CEPSA subsidiary CEPSA International BV is taking a 20% stake in Cosmo Abu Dhabi Energy Exploration & Production Co., Ltd., which holds a majority interest in Cosmo Oil subsidiary Abu Dhabi Oil Company, for approximately US$217m.

Ashurst advises Safanad on a 50/50 JV in relation to the £477m acquisition of NHP

Ashurst advised Safanad S.A., a global investment firm, on its 50/50 joint venture with US private equity firm Formation Capital in relation to the £477 million acquisition of NHP, a property company that owns 277 nursing and residential care homes in the UK, including the UK's third largest care provider HC-One. The deal brings total recoveries to creditors of £507 million over the last five years, as NHP has sought to realise value for its lenders through the sales of assets.

Realstar turns to Macfarlanes for major London residential, theatre and retail development

Macfarlanes has advised an affiliate of real estate firm Realstar Group on a joint venture agreement with Mace Real Estate to deliver a mixed use development at Newington Butts in Elephant & Castle, South London.

The development will include private rented sector accommodation ("PRS"), affordable housing, a theatre and retail space.

The development is expected to have a GDV in excess of £200m. Mace Real Estate Limited has been appointed as the development manager and Mace Limited has been appointed as the building contractor.

DLA Piper advises Mace Real Estate on major London PRS development

DLA Piper has advised Mace Real Estate on a joint venture agreement with an affiliate of Realstar Group, for the delivery of a 45 storey tower at Newington Butts in Elephant and Castle.

The development which has been heralded by the Mayor of London, Boris Johnson as "ground-breaking" due to its scale and supply of private residential sector accommodation (PRS) to the city, will have a GDV of over £200m.
