Vinge and the Norwegian law firm, Wiersholm are advising the IK VII Fund in connection with its investment in TeleComputing AS. The TeleComputing Group is a fast-growing supplier of complete IT solutions on the Nordic SMB market. TeleComputing provides market-leading and environmentally friendly solutions within IT operations management, outsourcing, IT OnDemand, cloud services and Software as a Service (SaaS) services. The subsidiary, Kentor conducts system integration operations and provides qualified industry and operations specialists, systems developers and IT advisory services.

VINGE ADVISES SOBRO IN CONNECTION WITH ACQUISITION OF ORANGO GROUP

Vinge has advised the investment company, Sobro, which is owned by the Ragnar brothers as well as  Per-Olof Söderberg, Mikael Ludvigson and David Stenlund Sager, in connection with the acquisition of Orango Group AB together with the company’s management and employees. Orango Group is one of Sweden’s leading business systems specialists with an annual turnover of approximately SEK 130 million and the company has demonstrated good profitability since its formation in 2011.

Electrical wholesale: Würth acquires Rexel’s operations in Poland, Slovakia and Estonia

The German Würth Group pursued its external-growth strategy in Eastern Europe by acquiring Rexel’s electrical wholesale operations in Poland, Slovakia and Estonia. The French Rexel group is listed on Euronext (RXL) and active in the wholesale of electrical supplies.

The operations in question accounted for sales of EUR 153 million in 2015. The completion of the transaction is subject to approval by the relevant competition authorities.

Two members of the board of directors/shareholders of DT Swiss Group AG have acquired all outstanding shares in the course of a succession planning structured as a leveraged buyout (LBO). DT Swiss is a globally renowned manufacturer of bicycle components with branches in the USA, the EU and Asia. Around 500 employees develop, produce and market DT Swiss’ first-class products around the world.

Vinge advised Valneva SE in connection with its acquisition of Crucell Sweden AB

Vinge, in cooperation with Dechert LLP as lead legal advisor, advised Valneva SE in connection with its acquisition of Crucell Sweden AB, the Nordics vaccine distribution business of the seller (Crucell Holland B.V.) and all assets, licenses and privileges related to Dukoral®, a vaccine against cholera and, in some countries, diarrhea caused by ETEC. Valneva is a Lyon based biotechnology company listed at Euronext Paris and at the Vienna stock exchange. The consideration amounted to € 45 million and the acquisition was completed on 9 February 2015.

DNV GL has acquired Gothia Power

DNV GL has acquired all the shares in Gothia Power, from a shareholder group consisting of founders and employees of the company.

Gothia Power provides advanced analysis and measurements for power production, power transmission and power consumption. Gothia Power is mainly active in Sweden, the Nordics and the Baltics and its customers include government agencies, manufacturing industries and actors active within infrastructure.

Dentons advises Wallis Group on purchase of Praktiker assets in Hungary

Dentons has advised Hungary’s Wallis Group and Praktiker’s managing director Karl-Heinz Keth in their respective purchase of the Hungarian retail operations and operating company of Praktiker, one of the leading DIY and home improvement store chains in Hungary. The existing Praktiker operation in Hungary, with 19 locations and 1,100 employees, will continue to trade under the Praktiker brand.

Clifford Chance advises Nikon Corporation on its offer to acquire London listed Optos plc

A cross-border team from leading international law firm Clifford Chance is advising Nikon Corporation on its recommended all cash offer to acquire London listed Optos plc, a leading retinal imaging company domiciled in Scotland. The offer values Optos at approximately GBP 259 million. The proposed acquisition of Optos is an important step in Nikon's implementation of its strategic initiative focused on driving sustainable long term growth that was announced in its June 2014 Medium-Term Management Plan Transform to Grow.

Zurich domiciled ACE Limited Completes Acquisition of Chubb and Adopts Chubb Name

ACE Limited, a Swiss company domiciled in Zurich, has completed its acquisition of The Chubb Corporation, a US company domiciled in Warren (New Jersey) on 14 January 2015, creating the world's largest publicly traded property and casualty insurance company, with operations in 54 countries and approximately 30,000 employees. Based on the most recent closing price of ACE Limited shares and the outstanding shares of The Chubb Corporation, the final deal value was USD 29.5 billion, paid in cash and stock.

Olswang advises Munich-headquartered agency on the acquisition of Seven Publishing in the UK

The M&A team at Olswang has advised Munich-based C3 (Creative Code & Content) on the acquisition of London-based Seven Publishing.

The deal sees Seven, an award-winning international content marketing agency, join forces with C3, ranked the most creative marketing agency in Germany for the fourth year running, to form an international strategic alliance with a client portfolio ranging from Sainsbury’s to Porsche and combined annual turnover of almost €100 million.
