DLA Piper advises on AU$ million acquisition of Ezidebit

DLA Piper has advised on the acquisition by Global Payments Inc of Ezi Holdings Pty Limited (Ezidebit) for AU$305 million. Founded in 1998 and based in Brisbane, Ezidebit is the largest Australian non-bank merchant acquirer and technology-enabled payment solutions company, and has grown to become a market leader in recurring payment solutions across Australia and New Zealand. Ezidebit focuses on enabling Australian and New Zealand merchants to efficiently process payments through a variety of direct debit, BPAY and eCommerce payment solutions.

Clifford Chance advises Antin Infrastructure Partners II on the acquisition of Roadchef

Clifford Chance has advised European infrastructure investment firm, Antin Infrastructure Partners on its acquisition of Roadchef from Delek Group.  Roadchef is one of the three major operators of Motorway Service Areas in the UK with 28 sites serving 44 million visitors each year.

The Clifford Chance team was led by Corporate partner Caroline Sherrell with Finance partner James Boswell.

European Commission Approves Acquisition of Rockwood Chemical Businesses by Huntsman

Today the European Commission approved the US$1.275 billion acquisition of a number of chemical businesses held by Rockwood Specialties Group, Inc. (NYSE: ROC) by Shearman & Sterling client Huntsman Corporation (NYSE:HUN) after an in-depth Phase II investigation. The European Commission’s conditional clearance follows Huntsman Corporation entering into an agreement to sell its TR52 ink grade business to Henan Billions Chemicals Co., Ltd.

DHT's Acquisition of Samco Shipholding

DHT Holdings has entered into an agreement to acquire all the outstanding shares of Samco Shipholding Pte. Ltd., a private, Singapore-based company, for a purchase price of approximately $317 million and the assumption of approximately $320 million of indebtedness. Cravath represented DHT in connection with this transaction, which is expected to close in September 2014 and is subject to various customary closing conditions. The transaction includes Samco’s 50% ownership in Goodwood Ship Management Pte.

DLA Piper advises Summit Partners' portfolio company Acturis on the acquisition of a software company

DLA Piper advised Acturis Limited, a portfolio company of Summit Partners, on the acquisition of the software company NAFI. Located in the North Rhine-Westphalian city of Höxter, NAFI group develops and distributes software solutions for the collection, calculation and analysis of car insurances. The NAFI management will be staying on.

Paul Hastings Advises ZenithOptimedia on Acquisition of Germany’s AKM3

Paul Hastings LLP has advised ZenithOptimedia, part of the Publicis Groupe, on the proposed acquisition of AKM3. The transaction is subject to the approval of the German Federal Cartel Office.
