Bupa - acquisition of Quality HealthCare Medical Services

Slaughter and May, Hong Kong and London, is advising Bupa, the international healthcare group, on the acquisition of Quality HealthCare Medical Services (Quality HealthCare), the largest private clinic network in Hong Kong, for US $355 million, from Fortis Healthcare.

The acquisition, which was announced on 14 October 2013, is expected to be completed by the end of October 2013, and makes Bupa the leading healthcare funder and provider in terms of depth and breadth of service in Hong Kong, with a strong platform for future growth in the region.

Trowers & Hamlins advises on acquisition of Thomas Cook operations

Trowers & Hamlins has advised Bahrain-based business group Yusuf Bin Ahmed Kanoo (Holdings) Co WLL ("Kanoo") on its acquisition of travel company Thomas Cook Group plc's Egyptian and Lebanese operations.

Thomas Cook Egypt and Thomas Cook Lebanon offer outbound corporate and leisure travel to Egyptian and Lebanese customers, as well as foreign exchange services in Egypt and Lebanon.  Kanoo has acquired these businesses for a cash consideration of £6.5 million.

Squire Sanders Represents CACI International in its US$820 Million Acquisition of Six3 System, Inc

Squire Sanders represented defense contractor CACI International Inc in its definitive agreement to purchase Six3 Systems, Inc. from the private equity firm GTCR. Six3 Systems provides support to the national security community in the areas of cyber and signals intelligence; intelligence, surveillance and reconnaissance; and intelligence operations. The deal is valued at US$820 million and is expected to close during CACI’s fiscal second quarter, ending December 2013, subject to regulatory approvals.

Debevoise & Plimpton LLP advises Freight One on the acquisition of a rail transport operator from Severstal

Debevoise & Plimpton LLP (“Debevoise”) advised Freight One, Russia's largest rail transport operator, on the purchase from Severstal, one of the major Russian steel producers, of 100% of shares in a rail transport operator ZAO StalTrans. The transaction includes the entry into contracts for rail cargo transportation with Severstal and two of its key mining subsidiaries. As part of the transaction, Freight One will also acquire 800 gondolas from Severstal.

The total consideration payable in the transaction is US$ 160 million.

International law firm Pinsent Masons has advised leading independent private equity house, Inflexion, on the buy out of online travel agent onthebeach.co.uk.

Based in Cheadle, On the Beach carries more than 900,000 passengers each year and has says it has grown rapidly on the back of significant investment in technology, content and marketing.

Simon Turner, Managing Partner at Inflexion, commented: “On the Beach has grown rapidly over the last few years, taking market share from traditional, high street travel agents.

Hogan Lovells advised the trustees of KPP in the acquisition of Eastman Kodak's French Personalized Imaging and Document Imaging businesses

Hogan Lovells advised the Trustees of the Kodak Pension Plan of the United-Kingdom (KPP) on the implementation and completion of a comprehensive settlement of its claims against Eastman Kodak Company (EKC). This included the acquisition of EKC's French Personalized Imaging (PI) and Document Imaging (DI) businesses. The Paris office of Hogan Lovells advised KPP in that respect. This deal closed on 1st October 2013.

International law firm Freshfields Bruckhaus Deringer advises Doughty Hanson and Grupo Hospitalario Quirón, on acquisition of Barcelona-based Centro Médico Teknon.

Grupo Hospitalario Quirón (Quirón), controlled by Douthy Hanson and the Cordón Muro family, has acquired Barcelona's Centro Médico Teknon, one of the leading private hospitals and a provider of reference in the healthcare sector, from the Spanish private equity firm Magnum Capital Industrial Partners.

Davis Polk advised Ingram Micro Inc. on its acquisition of CloudBlue Technologies, Inc. The financial terms of the transaction were not disclosed.

Ingram Micro is the world’s largest wholesale technology distributor and a global leader in IT supply-chain, mobile device lifecycle services and logistics solutions. CloudBlue Technologies is a provider of enterprise IT asset disposition, on-site data destruction and e-waste recycling services.
