Bird & Bird advises Terra Firma on the purchase of Parmaco Group

Bird & Bird's Nordic team has advised European private-equity firm Terra Firma in a deal to buy Parmaco Group from Finnish private equity group MB Funds.

Parmaco is a real estate company specialising in building and renting of schools, day care centres and nursing homes. Parmaco is active in Finland and Sweden, and has increased its asset base six-fold to more than 200,000 square metres over the past four years.

Dentons advises on inaugural sovereign bond issue by Papua New Guinea

Dentons has advised Credit Suisse (Singapore) Limited as Global Coordinator and Citigroup Global Markets Inc as Joint Lead Managers and Bookrunners on PNG’s successful debut sovereign bond which closed on 4 October 2018. USD 500 million 8.375% Notes due 2028 were issued pursuant to Rule 144A and Regulation S of the US Securities Act and rated B2 by Moody’s and B by S&P.

DLA Piper advises James Hardie Industries in its €400 million debut euro bond offering

DLA Piper represented James Hardie Industries, a global manufacturer and marketer of fiber cement products, in its €400 million debut euro bond offering. The sole physical bookrunner in the offering is HSBC and the bookrunning managers are Bank of America Merrill Lynch, Wells Fargo, Commonwealth Bank of Australia and US Bancorp. The transaction closed on October 4, 2018.

Slaughter and May is advising Banco Santander, S.A. (“Santander”), a significant shareholder in Alawwal bank, in connection with the proposed merger of Alawwal bank with The Saudi British Bank (the “Merger”). The Merger will create Saudi Arabia’s third largest bank with a stock market capitalisation of approximately SAR 64.4 billion (USD 17.2 billion).
 
The Merger is conditional on, among other things, shareholder approval and certain regulatory approvals. The Merger is expected to complete in the first half of 2019.

Baker McKenzie assisted Monsanto with a significant project on the construction of a seeds processing facility in Ukraine

Baker McKenzie's Kyiv office provided full legal support to Monsanto, which has now become a part of Bayer group, on all stages of the seeds processing facility construction project in Ukraine.

The largest of its kind in Ukraine, the seeds processing facility was officially opened on 5 September 2018 in Pochuiky, Zhytomyr region. It is reported that the seeds facility is providing 85 permanent and 220 seasonal jobs.
