Fried Frank acted as counsel to Permira Funds in its US$1.68 billion sale of Magento Commerce, an e-commerce platform, to Adobe. Magento Commerce was acquired by Permira from eBay Inc. in 2015. The Magento Platform brings together digital commerce, order management, and predictive intelligence into a unified commerce platform enabling shopping experiences across a wide array of industries. Latham & Watkins Advises on Takeda’s US$46bn Acquisition of Shire plc

Latham & Watkins is advising JPMorgan Chase Bank N.A., Sumitomo Mitsui Banking Corporation, and MUFG Bank, Ltd. as joint lead arrangers and joint bookrunners of the US$30.85 billion bridge credit facilities (and related loan and securities matters) entered into by Takeda Pharmaceutical Company Limited (Takeda) to part fund the acquisition of the entire issued and to be issued ordinary share capital of Shire plc (Shire).

CMS advises British firm Jardine Lloyd Thompson Group on acquisition of Hamburg-based OWL Marine Insurance Brokers

Cologne – UK company Jardine Lloyd Thompson Group plc has acquired all the shares in Hamburg-based OWL Marine Insurance Brokers GmbH & Co. KG. The deal enables the London-based insurance broker to expand its portfolio of marine and transport insurance products. The parties agreed not to disclose the transaction value.

A CMS team headed by lead partner Dr Petra Schaffner advised Jardine Lloyd Thompson on all legal aspects of the transaction. In addition to due diligence, the advice related to drafting and negotiating all the agreements associated with the deal.

Domicil Real Estate acquires residential portfolio in Hanover assisted by Heuking Kühn Lüer Wojtek

A team led by Dr. Peter Vocke advised Domicil Real Estate Group on the acquisition of nine building complexes with 210 residential units in Hanover in an asset deal. Quantum Immobilien Kapitalverwaltungsgesellschaft mbH is the seller of the BEECHWOOD portfolio north-east of Hanover city center.
 
The building stock, which was modernized between 2013 and 2016, dates from 1958 to 1961, has 99 underground parking spaces and 14 garage spaces and is fully leased out. The property has excellent transport links and great potential for value enhancement.

Osborne Clarke advises Shop.co on its acquisition by Klarna

Osborne Clarke has advised Düsseldorf-based start-up, Shop.co, on its acquisition by Swedish payment service provider, Klarna.

Shop.co has developed a browser extension that enables users to save preferred products in various online shops when shopping online. Customers are able to purchase these products directly using a single shopping basket without having to order on different sites. Klarna has already acquired various start-ups in Germany and is rated at a value of more than two billion euros.

Ashurst advises ICG on new revolving credit facilities totalling £500m

Ashurst advised longstanding client ICG, the FTSE 250 listed specialist asset manager, on new syndicated revolving credit facilities totalling £500m. The lender syndicate comprises nine of ICG's core relationship lenders.

The new facilities have been put in place to refinance a suite of existing bilateral debt facilities and for general corporate purposes of the Group.
