Ashurst advises PIC on marketing agreement with Canada Kuwait Petrochemical Corporation

International law firm Ashurst advised Petrochemical Industries Company K.S.C. ('PIC') on a definitive agreement with Canada Kuwait Petrochemical Corporation ('CKPC') to be the marketing agent for CKPC's proposed 550 thousand metric ton per year polypropylene (PP) production facility in Sturgeon County, Alberta, Canada (the 'Project'). CKPC is a joint venture between PIC and Pembina Pipeline Corporation.

Dentons advises Virgin Mobile Middle East on pre-IPO convertible sukuk

Dentons advised Virgin Mobile Middle East and Africa (VMMEA), on the issuance of a US$30 million pre-IPO exchangeable senior secured sukuk, which was privately placed. The company plans to use the proceeds to fund growth and expansion.

Ward Yates advised as Jersey and BVI counsel, while VG acted as corporate services provider to the special purpose vehicle (SPV) issuer.

Herbert Smith Freehills advises lenders on Beryl Solar Farm

Herbert Smith Freehills has advised MUFG Bank, Ltd. (MUFG), Societe Generale and Mizuho Bank, Ltd. (Mizuho) on the project financing of the 87 MW Beryl Solar Farm in the New South Wales Central Tablelands.

The Beryl Solar Farm, developed by First Solar, is located five kilometres west of Gulgong in New South Wales, and will consist of approximately 260,000 First Solar thin film photovoltaic modules. Once complete, it will produce enough solar energy to power about 25,000 homes. The project achieved financial close on 11 May 2018.

Travers Smith advises Volex plc on the acquisition of the business and assets of Silcotec Europe Limited for a consideration of up to €18.1 million and a £36 million placing

Travers Smith LLP has advised its long standing client, Volex PLC, on the acquisition of the business and assets of Silcotec Europe Limited, a manufacturer and seller of cable harnesses, for an aggregate consideration of up to approximately €18.1 million and an oversubscribed £36 million equity placing.

The proposed acquisition is the next step in the execution of Volex's strategy to grow its cable assembly business following the acquisition of MC Electronics LLC in April 2018.

Baker McKenzie acts on the acquisition of Cyclopharma by Curium

Baker McKenzie has acted as legal counsel in connection with the sale of Cyclopharma to the Curium group, excluding existing R&D activities and the international operations of Cyclopharma which have been taken over by the Denos group, the seller and majority shareholder.

Created in 2000, the French pharmaceutical laboratory, Cyclopharma specialises in molecular imaging, develops and produces diagnostic PET tracers. This technique is used notably in oncology, neurology and cardiology sectors. The company currently has 100 employees.

Worldline, European leader in the payments and transactional services industry, has announced its acquisition of SIX Payment Services, the payment services division of SIX, for a consideration of €2.303 billion (CHF 2.750 billion). The transaction represents the largest domestic European FinTech deal to date in 2018 and will create the leading and largest payments provider in Europe.

Proskauer Advises Cheyne Capital on Major Investment in Vanderbilt Homes

International law firm Proskauer advised Cheyne Capital Management and Vanderbilt Holdings Limited on the provision of an additional £12.5 million in funding to Vanderbilt Homes to support its growth plans. Proskauer also advised in relation to the refinancing of Vanderbilt Homes’ senior debt with Barclays and RBS, who extended their £35 million revolving credit facility for an additional three years.

The joint bookrunners included Credit Suisse, JP Morgan, Morgan Stanley and UBS Investment Bank.

Simpson Thacher recently represented SMBC Nikko Securities America, Inc., as sole bookrunner, in connection with Sumitomo Mitsui Banking Corporation’s (“SMBC”) reopening of its senior floating rate notes due 2020 originally issued in January 2018 under SMBC’s US$50 billion Global Medium Term Notes Program. The offering of $750 million of senior floating rate notes were guaranteed by SMBC’s New York branch and offered and sold in reliance on the exemption from SEC registration provided in Section 3(a)(2) of the Securities Act.
