Coca Cola European Partners’ Exchange Offers and Consent Solicitations

Shearman & Sterling advised Coca Cola European Partners plc (CCEP) on its offers to exchange certain U.S. dollar-denominated notes issued by its subsidiary, Coca-Cola European Partners US, LLC (CCEP US), for new notes issued by CCEP and guaranteed by CCEP US and cash, as well as related consent solicitations.  Concurrently, Shearman & Sterling also advised CCEP US on its solicitations of consents to substitute CCEP as the issuer and principal debtor and CCEP US as the guarantor under certain euro-denominated notes previously issued by CCEP US.

Ontario Teachers’ $2 Billion Senior Notes Offering

Shearman & Sterling advised Citigroup Global Markets Limited, Goldman Sachs International and RBC Capital Markets, LLC, as joint book-running managers, and Barclays Bank PLC, Scotia Capital (USA) Inc. and TD Securities (USA) LLC, as co-managers, in connection with Ontario Teachers’ Finance Trust’s (OTFT) U.S. Rule 144A/Regulation S private placement of $2 billion aggregate principal amount of 2.750% Senior Notes due 2021. The notes are guaranteed by OTFT’s parent, Ontario Teachers’ Pension Plan Board.

White & Case Advises Bank Syndicate on Altran's €750 Million Capital Increase in Relation to Aricent Acquisition Refinancing

Global law firm White & Case LLP has advised the bank syndicate led by Crédit Agricole, Goldman Sachs and Morgan Stanley, as Global Coordinators and Joint Bookrunners, on Altran’s €750 million capital increase with preferential subscription rights, with which it will refinance the acquisition of Aricent.

The acquisition, which closed on March 20, 2018, enables Altran to become the undisputed global leader in the engineering and research & development services.

White & Case Advises on AUD$450 Million Commercial Debt Refinancing for NSW Ports

Global law firm White & Case LLP has advised NSW Ports on its refinancing of AUD$450 million of commercial debt.

"The successful commercial bank debt refinancing was achieved in combination with further US Private Placements issuance by NSW Ports" said White & Case partner Cameron Watson, who led the Firm's deal team. "NSW Ports attracted strong interest for the refinancing which reflects the confidence of domestic and international banks and investors in Australian infrastructure assets."

White & Case Advises Banks on Euronext’s Inaugural €500 Million Notes Offering

Global law firm White & Case LLP has advised the bank syndicate led by BNP Paribas and Crédit Agricole CIB, as Global Coordinators and Joint Lead Managers, and ABN AMRO, ING, MUFG and Société Générale CIB, as Joint Lead Managers, on Euronext’s inaugural €500 million offering of 1% notes due 2025.

The bonds were admitted to trading on the regulated market of Euronext Dublin.

Euronext is the main stock exchange in Europe with more than 1,300 issuers. It will use the proceeds of the bonds issue to refinance its acquisition of the Irish Stock Exchange.

Another AIM placing and subscription for NetScientific plc

International law firm Simmons & Simmons has advised on the AIM placing and subscription completed on 17 April 2018 by NetScientific plc, the transatlantic healthcare IP commercialisation group.

The team advised the nominated adviser and broker Stifel Nicolaus Europe Limited and placing agent Liberum on the placing and subscription of 9,523,809 new ordinary shares at 52.5 pence per share, raising a total of £5m for NetScientific (before expenses).

Paralysed Pensioner Dragged out of Bed and Shouted at for Being Unable to Stand by Care Home Employee

An elderly man who is paralysed with Motor Neurones Disease was abused by a care worker who dragged him out of bed and pulled him across the floor while shouting at him to stand up.

Eighty-year-old David Taylor, who is unable to speak, lost skin on his hands and was left with bruising on his body after the incident at a care home in Greater Manchester.

The retired builder’s wife Linda, 74, says the abuse only came to light after family members heard a staff member at Langfield Nursing and Residential Home in Middleton shouting at a lady with dementia.

King & Wood Mallesons (KWM) advised Cinda International Capital Limited as the sole sponsor and the underwriters as the Hong Kong counsel on the initial public offering (IPO) of Bao Shen Holdings Limited (Bao Shen, Stock Code: 8151) on the GEM of The Stock Exchange of Hong Kong by way of share offer.

Listed on 23 April 2018, the IPO comprised a share offer of a total of 105 million shares. Priced at HK$0.48 per share, the gross proceeds from the share offer was approximately HK$50.4 million.

DLA Piper advised AFL on landmark AU$225M Etihad Stadium redevelopment deal

DLA Piper advised the AFL (Australian Football League) on its historic AU$225 million deal with the State of Victoria to redevelop Etihad Stadium and the surrounding Docklands precinct, with an extended 40-year commitment to host the AFL Grand Finals.

The redevelopment will include a major focus on improving the fan experience, with better views from the bottom-level via new concourse flooring and improved seating.
