Sidley Advises Mid Europa Partners on Its Acquisition of MediGroup

Sidley represented Mid Europa Partners, the leading private equity investor in Central and South Eastern Europe, on its acquisition of a majority stake in the Serbian private healthcare provider, MediGroup. The seller, Blue Sea Capital, will retain a 45 percent stake in the company. The transaction is subject to customary competition clearance and is expected to close in Q2 2018.

King & Spalding Advises on Cross-border Combination of the Saudi and Oman Businesses of Dalma Energy into KCAD

Kirkland & Ellis Advises Searchlight Capital on Sale of Ocean Outdoor

Kirkland & Ellis is advising funds advised by Searchlight Capital on the sale of Ocean Outdoor to Ocelot Partners Limited, a publicly listed acquisition company. The transaction will give Ocean Outdoor, an operator of premium digital out-of-home advertising that operates the UK’s most prominent outdoor advertising locations, including Landsec’s Piccadilly Lights, BFI’s London’s IMAX, Westfield’s Holland Park Roundabout and the Birmingham Media Eyes, amongst others, an enterprise value of £200 million. The acquisition agreement was announced on March 1, 2018.

Commerzbank‘s Financing of Huber Packaging

Shearman & Sterling advised Commerzbank as arranger on the refinancing of Huber Packaging Group. The new financing will ensure long-term financial flexibility and enable further expansion opportunities.

Huber Packaging is a fifth generation family-owned company headquartered in Öhringen, Germany. The company is a leading manufacturer of metal tinplate and plastic-blown packaging in Europe. With over 1,000 employees in eight production sites and seven countries, Huber generated €200 million of revenue in 2017.

CVS Health’s $40 Billion Acquisition Financing for Aetna

Shearman & Sterling advised CVS Health Corporation (CVS Health) on its $40 billion bond offering to finance a portion of the purchase price for its acquisition of Aetna Inc. (Aetna). This is the third-largest corporate bond sale on record. This acquisition financing supports CVS’s industry-transforming $69 billion acquisition of Aetna, on which the firm also advised. CVS’s acquisition of Aetna is expected to provide more integrated and efficient healthcare services for consumers and health professionals.

White & Case advises Neoen on Hydrogen Superhub

Global law firm White & Case LLP has advised Paris-based renewable energy company Neoen on its funding from South Australia's Renewable Technology Fund for the feasibility analysis and eventual construction of a renewable hydrogen production facility. The Superhub will be constructed in the State of South Australia and is expected to produce hydrogen from electrolysis of water powered by renewable wind and solar energy, and potentially also battery.

White & Case Advises European Investment Bank on Strategic Financing for ORES

Global law firm White & Case LLP has advised the European Investment Bank (EIB) on a strategic €550 million financing to ORES, one of Belgium's main gas and electricity distribution networks operators.

The financing will be used to make the network greener and more efficient. Brussels-based White & Case local partner Hadrien Servais, who co-led the Firm's deal team said: "White & Case has been advising the EIB on important transactions of this nature for a number of years, and this deal is another demonstration of the strength of our relationship."
