SVEZA group acquires plywood business in Tuymen

Baker McKenzie represented SVEZA, one of the world leaders in the natural birch plywood market, in connection with the acquisition of Tuymen Plywood Plant and two of its satellite companies in Tuymen. The acquired companies are major producers of large-sized plywood in Russia, supplying their products to various Russian and foreign construction companies as well as those engaged in machine, aviation and shipbuilding. The transaction is part of SVEZA’s strategy to increase its production volumes by expanding its portfolio with potential high-growth businesses.

Baker McKenzie, along with other law firms, assisted Ideal Standard in the transfer of its business in Roccasecca, Italy, safeguarding the site’s activities and employment.

The company, one of the world’s leading manufacturers of high-quality residential, commercial and healthcare bathroom solutions, signed an agreement with Saxa Grestone S.r.l. for the sale of its activities in Roccasecca, allowing business continuity for the factory and its 279 employees.

UCP Plc Wins English High Court Battle

Skadden secured an important victory for client UCP Plc in a jurisdiction battle in the English High Court. The challenge by Nectrus Limited arose in connection with a claim by UCP for breaches of an agreement containing a nonexclusive jurisdiction clause in favor of the English courts, in circumstances where neither party operates in England and proceedings have been initiated by Nectrus against UCP in the Isle of Man.

NQ Mobile Wins Dismissal With Prejudice of Securities Fraud Case

On February 27, Skadden secured dismissal with prejudice of a securities fraud case against firm client NQ Mobile, Inc. and certain of its executives. The plaintiffs asserted claims under Section 10(b) and 20(a) of the Securities Exchange Act, alleging that the defendants misled investors about the value of the company and failed to timely disclose certain corporate acquisitions.

White & Case Advises PFH on Acquisition of Uni Gasket Group

Global law firm White & Case LLP advised PFH on its acquisition of Uni Gasket Group.

PFH is an independent investment holding company which has been operating in Italy for more than 30 years. Uni Gasket is an Italian company active in the production of PTFE, rubber and silicone pipes and gaskets.

The transaction has been partially financed through a term and revolving facility agreement provided by Unione di Banche Italiane S.p.A. and Banco BPM S.p.A., which were also advised by White & Case.
