Ascential Acquires Clavis Insight

Fried Frank acted as counsel to Ascential plc (LSE: ASCL.L), a global business-to-business information company, on its acquisition of Clavis Insight for an initial cash consideration of US$119 million paid in December 2017 plus future earnout payments payable over three years. The total consideration is capped at US$219 million and a portion of the earnout is subject to the founders remaining employed by the company.

WFW advises PNE WIND AG on sale of minority stake in 142 MW wind farm portfolio to Allianz Renewable Energy Fund II

Watson Farley & Williams (“WFW“) advised PNE WIND AG (“PNE“) on the sale of its remaining 20%  stake in a 142 MW wind farm portfolio to Allianz Renewable Energy Fund II (“AREF II”), an investment fund managed by Allianz Global Investors GmbH, for €23m. PNE remains responsible for the technical, commercial and operational management of the wind farms in the portfolio.

King & Wood Mallesons advises China General Nuclear Power Corporation on its overseas issuance of multi-currency bond issuance

King & Wood Mallesons (KWM) advised China General Nuclear Power Corporation (CGN) as its international and PRC counsel on its EUR500 million seven-year euro-denominated green bonds and USD900 million US dollar-denominated debt with multi-period in the Irish and Hong Kong Stock Exchange respectively (the “Bonds”). The bonds are issued by CGNPC International Limited, a wholly-owned subsidiary company of CGN and unconditionally guaranteed by CGN. The complex multi-currency transaction with several periods in two regions, is rarely seen in the market.

Gide, counsel to the purchaser of Tour Hekla

Real estate OPCI and SCPI investment funds managed by Amundi Immobilier and Primonial Real Estate Investment Management set up a joint venture for the off-plan acquisition of the "Tour Hekla" project, developed jointly by groups Hines and AG Real.

Hekla will be a new iconic 48-floor and 76,000 m²-tower, designed by French architect Jean Nouvel. Works will begin in 2018 in the heart of Paris-La Défense, Paris' business district.

Clifford Chance advises Neon on inaugural UK ILS application

International law firm Clifford Chance has advised specialist Lloyd’s (re)insurer Neon on its successful application to undertake an insurance-linked securities (ILS) transaction in the UK, the first of its kind under the UK's new ILS framework.

The permission will see Neon establish a new form of insurance special purpose vehicle, a protected cell company that will be used to transfer a proportion of the risks to be written in 2018 by Neon's Lloyd's syndicate 2468 to a group of institutional investors.

The team also advised on its proposed delisting from the Official List of the London Stock Exchange and the Kazakhstan Stock Exchange.
