Simmons & Simmons advises Franklin Templeton on its acquisition of Edinburgh Partners

The firm has advised Franklin Templeton Investments on the acquisition of independent fund manager Edinburgh Partners, which is headed up by Dr Sandy Nairn, former director of research at Templeton Global Equity Group. The transaction is subject to regulatory approvals and is expected to be completed in the first half of 2018. The terms of the transaction are confidential.

ZPG’S NOTES OFFERING

Shearman & Sterling advised HSBC Bank, Lloyds Bank, Barclays, Credit Suisse and NatWest Markets as initial purchasers in connection with the offering of £200 million 3.750% notes due 2023 by ZPG Plc.

Shearman & Sterling also advised HSBC Bank, Lloyds Bank, Barclays, Credit Suisse, RBS and Bank of Ireland as mandated lead arrangers and lenders in connection with a new £200 million revolving credit facility made available to ZPG.

Pinsent Masons advises on Burroughs Day administration

Pinsent Masons has advised Andy Hosking and Sean Bucknall of Quantuma, the joint administrators of Burroughs Day, on Burroughs Day’s pre-pack sale to Metcalfes Solicitors.

Burroughs Day, a 190-year old Bristol law practice, called in administrators after financial difficulties meant its management could no longer keep the business running successfully. An immediate pre-pack administration sale was completed of the whole business  to city rival Metcalfes Solicitors.

Macfarlanes advises on closing of £900m Alchemy Special Opportunities Fund IV

Macfarlanes has advised longstanding client Alchemy on the raising of its fourth special opportunities fund which, after an efficient fundraising period, has closed at its hard cap of £900m.

The successful fundraising drew on capital from both existing investors and a select number of new investors, primarily from the US and Europe. 

Baker McKenzie advises LeoVegas in connection with the acquisition of the UK casino operator IPS

The Swedish mobile gaming operator LeoVegas AB (publ) has entered into an agreement to acquire the assets of Intellectual Property & Software Limited (IPS) and other related assets from two further companies, including top brands such as 21.co.uk, Slotboss, Bet UK and UK Casino.

The acquisition will further strengthen LeoVegas' presence in the UK and its position as the leading mobile operator.

DWF Dublin advises Capital Stage AG on 140MW solar energy development portfolio

The Dublin office of international legal business DWF acted for Capital Stage AG on its partnership with the Ireland Strategic Investment Fund (ISIF) to invest in a 140MW portfolio of solar PV projects under development by Irish solar developer, Power Capital.

SDAX-listed Capital Stage AG, is one of Europe's leading renewable independent power producers with wind and solar investments in multiple EU countries. 

DLA Piper advises ASC Investment on the acquisition of VITRABLOC

DLA Piper has advised Luxembourg-based private equity firm ASC Investment on the acquisition and the financing of VITRABLOK a specialist glass block manufacturer. This is the first acquisition for ASC Investment.

VITRABLOK was part of the SEVES Group, a Triton Fund III company. With more than 300 employees in Europe and the USA, VITRABLOK has a 40% share in the world glass block market. It is the leading manufacturer of glass bricks for interior and exterior architectural applications.

Dentons advises Virgin Atlantic Airways on up to US$350 million debut revolving credit facility

Dentons has advised Virgin Atlantic Airways Ltd on its three-year, US$150m secured syndicated revolving credit facility with options to increase to US$350 million and extend the term to five years.

The facility, which is secured against aircraft and engines, will be used to help the airline invest in its customer experience and plan for future growth, including the pre-delivery payments on Virgin Atlantic’s order of new A350-1000 aircraft due from 2019.

The facility was arranged by Lloyds Bank and includes a syndicate of six leading banks.

Sika acquires majority stake in Index Construction Systems and Products

Baker McKenzie has assisted Sika AG, a leader multinational in the development and production of specialty chemicals in the building sector and automotive industry, in the acquisition of majority stake in Index Construction Systems and Products S.p.A., a leading manufacturer of roofing and waterproofing systems headquartered close to Verona, Italy.

Baker McKenzie assisted Sika with a team led by partner Alberto Fornari and with the assistance of counsel Chiara Marinozzi.
