Global law firm White & Case LLP has advised the initial purchasers, including Credit Suisse and Goldman Sachs International as global coordinators and joint bookrunners, and BNP Paribas as joint bookrunner, on the high yield offering of €200 million principal amount 8.00%/8.75% Senior PIK Toggle Notes due 2022 by NewCo GB, a parent entity of Burger King France.

McDermott has advised owner Oliver Karrié  on the sale of all his shares in KBS Infra GmbH and its subsidiaries (“KBS Group”) to Cramo AG (“Cramo”).

KBS is a full-service provider for logistics in the construction sector, operating across Germany. The group plans and operates logistical services, supplies rental and set-up of construction site equipment and supplies construction sites with inbound and outbound communication.

CMS advises on landmark transaction which brings P&O Maritime to Ukraine for the first time

CMS Cameron McKenna Nabarro Olswang in Kyiv is pleased to announce that it has advised SD Capital on the English and Ukrainian law aspects of a joint venture transaction which brings P&O Maritime (owned by DP World Group - one of the worlds’ largest port operators) to Ukraine for the first time. As part of the transaction, P&O acquired control over the Ukrainian harbour towage company LB Shipping. The joint venture will provide towage services in Ukraine’s Black Sea port of Yuzhnyi.

Kirkland represents Spectrum Brands Holdings on sale of Global Consumer Battery Business to Energizer Holdings for approximately $2 billion

Kirkland & Ellis LLP advised Spectrum Brands Holdings, Inc. (NYSE: SPB), a global consumer products company, on its agreement to sell its Global Consumer Battery Business to Energizer Holdings, Inc. (NYSE: ENR), one of the world’s largest manufacturers of primary batteries and portable lighting products, for approximately $2 billion in cash. Milbank Advises Schoeller on the Partnering with Brookfield

The international law firm Milbank, Tweed, Hadley & McCloy LLP is advising Schoeller Industries, Amsterdam/Pullach, the holding company owned by the Schoeller family and the founding shareholder in Schoeller Allibert Group, in connection with the sale of the stake held by its co-shareholder, J.P. Morgan, to Brookfield Business Partners L.P. and the partnering between Schoeller and Brookfield. The Schoeller family has agreed to contribute further business interests to Schoeller Allibert.

Orrick Advises Verdion on Realization of Amazon Logistics Center

Orrick advised Verdion GmbH on the development of a 100,000 m² logistics center in Werne near Dortmund, Germany. Constructed by BREMER AG, the building was transferred to Amazon at the end of October.

For the project, valued at around €100m, Orrick advised on the property acquisition agreement, the leasing contract with Amazon, the general contractor agreement, further project contracts and the construction phase of the logistics center.

CMS advises Essberger on acquisition of Crystal Nordic

Hamburg – Long-established shipping company John T. Essberger has acquired Crystal Nordic, a Denmark-based operator of 14 chemical tankers. The vendors are Nordic Tankers and Embarcadero Maritime.

A CMS team headed by Dr Christian v. Lenthe and Dr Marc Riede advised John T. Essberger on all legal aspects of the transaction. On the Danish side, CMS Germany cooperated with Danish law firm Kromann Reumert. The purchase price was not disclosed.
