A Squire Patton Boggs cross-border corporate finance team advised the shareholders of Berlin-based DirectSmile GmbH on its acquisition by Silicon Valley-based Electronics for Imaging, Inc. (EFI), a world leader in customer-focused digital printing innovation.

An award-winning provider of software solutions for cross media marketing automation, DirectSmile invented image personalization in 2001. Through the acquisition, DirectSmile’s technologies will expand EFI’s client base and provide customers with fully integrated, cross media technologies.

Cadwalader is pleased to have advised Forbes Media LLC on its sale of a majority stake to a group of international investors as part of the Company's global growth strategy.  The Forbes Family will retain a significant ownership stake and will remain a privately-held company.  The newly formed Hong Kong-based investor group, Integrated Whale Media Investments, will provide capital, as well as financial and operational expertise to strategically expand market share of Forbes Media product lines globally.  The terms of the transaction were not disclosed.

DLA Piper represents Racemi in US$10 million investment

DLA Piper represented Atlanta-based Racemi, a cloud migration company, in a US$10 million investment by venture capital fund Milestone Venture Partners and existing investors Harbert Venture Partners and Paladin Capital Group.

This latest investment will be used to further scale Racemi’s sales, services and engineering to meet the growing demand for its software that supports migrations between dissimilar physical, virtual and cloud platforms.

White & Case Advises Wind Telecomunicazioni S.P.A. and Wind Acquisition Finance S.A. on €4 Billion Corporate Refinancing

Global law firm White & Case LLP has advised Wind Telecomunicazioni S.p.A., a leading Italian telecoms operator, and its wholly-owned subsidiary Wind Acquisition Finance S.A. (WAF) on a corporate refinancing that includes a new €4 billion issuance by WAF of three tranches of senior secured bonds.

The deal also involved a simultaneous tender offer for outstanding securities of WAF to facilitate the transaction.

The change of form took effect on 7 July this year upon entry in the commercial register, after the general meeting approved the step with a majority of 99.57% on 21 May 2014.
