WEBROOT TO BE ACQUIRED BY CARBONITE FOR $618.5 MILLION

The Technology and Private Equity teams advised Webroot in its definitive agreement to be acquired by Carbonite for approximately $618.5 million. Carbonite will fund the transaction with existing cash on hand and funds secured under a new credit facility. The transaction is expected to be immediately accretive on an earnings and cash flow basis, following the close of the transaction which is expected in the first quarter of 2019.

CMS AD­VISES LC PUB­LISH­ING GROUP ON THE AC­QUIS­I­TION OF A 60% STAKE IN IBERI­AN LEG­AL GROUP

CMS has advised Italian firm LC Publishing Group on the acquisition of a 60% stake in Iberian Legal Group, a Spanish company specialising in information on the legal sector and publisher of Iberian Lawyer and The Latin American Lawyer.
 
The deal paves the way for the creation of Southern Europe and Latin America’s leading specialist publishing house.

The £6.5m investment will enable the business to expand its global operations and develop its presence in the US and European markets, accelerate its product development programme and grow its technology division. The funding round was led by Downing Ventures.
