Bird & Bird advise Earthport as the target of a now competing takeover bid by Mastercard

International law firm Bird & Bird continue to advise Earthport, a UK-based FinTech company, as the target of a now competing takeover bid by Mastercard by way of a takeover offer for £233 million. Mastercard's offer follows the bid that the Company received from Visa in December 2018 and represents a 10 per cent increase on the price offered by Visa.

 

Stephenson Harwood advises on largest UK healthcare REITs merger

Law firm Stephenson Harwood LLP has advised Nexus Tradeco Limited (Nexus), in its role as property manager of Primary Health Properties (PHP), on the merger of PHP and Medicx – creating Britain’s largest healthcare real estate investment trust.

 

The combined group will hold a portfolio of 479 properties in the UK, rented to primary care providers, with a value of £2.3 billion. Nexus, the UK-based property management services, will provide property management, administrative and advisory support to the enlarged group.

 

WFW advises BNP Paribas on US$439m SINOSURE-backed financing of 86 MSC scrubbers

Global law firm White & Case LLP has advised Alpha Bank A.E. on its sale to a consortium of funds managed by affiliates of Apollo Global Management and International Finance Corporation, a member of the World Bank Group, of a mixed pool of non-performing loans to Greek SMEs and, together with Alpha Bank's wholly-owned group company Alpha Leasing S.A., repossessed real estate assets in Greece.

Herbert Smith Freehills' London finance team has advised Bank of America Merrill Lynch (BAML) as the sole underwriter and mandated lead arranger on the financing of GlaxoSmithKline plc's acquisition of TESARO, Inc. for a total consideration of approximately $5.1 billion.

 

The team involved in negotiating the financing was led by partners Will Nevin and Gabrielle Wong, with the assistance of key associates Susie Nguyen and Benjamin Robinson.
