International CMS team advises Sinochem Group on the acquisition of plastics manufacturer ELIX Polymers from Sun European Partners

Stuttgart – Chinese chemical giant Sinochem Group has acquired the Spanish plastics producer ELIX Polymers from the British private equity investor Sun European Partners LLP for an enterprise value of EUR 195 million.

KWM advises Temenos on acquisition of Australian-founded customer on-boarding platform, Avoka Technologies

King & Wood Mallesons (KWM) has advised Swiss-listed banking software company Temenos AG (SIX:TEMN) on their acquisition of US-headquarted Avoka.

Avoka, the provider of a digital customer acquisition and on-boarding platform, will be integrated into Temonos’ Digital Front Office Product, strengthening its omni-channel digital banking offering.

The transaction will be funded by a combination of cash and debt and is worth USD245 million.

Travers Smith advises 3i Group and Aspen Pumps on refinancing

Travers Smith LLP has advised long-standing client, the 3i Group, and Aspen Pumps on the successful completion of a refinancing of the Aspen Pumps senior debt facilities and the return of £52m to 3i, representing more than 0.8x their original equity investment in Aspen.

Aspen is the global leader in condensate pumps for air conditioning and refrigeration systems. The refinancing ensures that Aspen is well positioned to continue investing to further accelerate growth and deliver on its ambitious plans, both organically and through acquisitions.

DLA Piper advises Stillfront Group on acquisition of German game developer Playa Games GmbH

DLA Piper has advised the Swedish company, Stillfront Group AB, on its acquisition of Hamburg-based Playa Games GmbH. Stillfront acquired 100 percent of the shares of Playa Games for a consideration of EUR 20 million, a four-fold of the 2018 EBIT. EUR 14 million of the purchase price is payable in cash and the remaining amount is payable in in newly issued Stillfront shares. The sellers may be entitled to an earn-out consideration, amounting the total purchase price to maximum EUR 45 million.

Dentons advises Waimea Group on a bond issue

Dentons' Banking and Finance team in Warsaw advised Waimea Group on a EU28.7 million corporate bond issuance.

The funds raised from the bond issue will be used for the construction of 12 Class A units in two modern logistics parks in Poland - Waimea Logistic Park Bydgoszcz and Waimea Logistic Park Stargard. The planned complexes will offer a total area of about 90,000 sq.m. to let in Bydgoszcz and about 80,000 sq.m.in Stargard.

DWF advises Burton's Biscuit Company on sale of chocolate manufacturing refinery

DWF has advised Burton's Biscuit Company on the sale of its chocolate manufacturing refinery in the Wirral to Swiss chocolate firm Barry Callebaut, the world's leading manufacturer of high-quality chocolate and cocoa products, for an undisclosed sum.

The deal will see the Moreton-based refinery integrated in to the Barry Callebaut network, enabling the Zurich-based business to boost its manufacturing presence in the UK and comes after the business signed a long-term supply agreement with Burton's for 12,000 tonnes of chocolate and compound per year.

DLA Piper has advised John Swire & Sons and its wholly-owned subsidiary, Argent Energy, on the acquisition of Biodiesel Amsterdam (BDA) – a leading producer of second-generation biodiesel made from used fats and oils, Tankstorage Amsterdam (TSA) – a tank storage company for vegetable oils and fats and biodiesel, and Tank & truck cleaning Amsterdam (CSA) – a tank and truck cleaning service in the port of Amsterdam, from the Amsterdam-based Simadan Group.

Reed Smith Singapore Assists InfraCo Asia in Sale of Vietnamese Hydro Power Project to TEPCO

SINGAPORE - Reed Smith is pleased to have represented InfraCo Asia Development Pte. Ltd. (a subsidiary of the Private Infrastructure Development Group), on its divestment from the Vietnamese Coc San Hydro Power Project. In the transaction, InfraCo Asia sold its 33.4% stake in the project’s operator, Viet Hydro Pte Ltd (the majority shareholder of Lao Cai Renewable Energy Joint Stock Company) to the Tokyo Electric Power Company Holdings, Inc. (TEPCO). The deal is TEPCO’s first investment in an overseas hydropower project.

White & Case Advises Nexif Energy on Australian Wind Farm Expansion

Global law firm White & Case LLP has advised Nexif Energy on the development and senior and structurally subordinated project financing for the expansion of Lincoln Gap Wind Farm in South Australia.

This phase of the project will add 86 MW of generating capacity to the 126 MW of capacity already under construction at the site, located just outside Port Augusta in South Australia. Nexif Energy is backed by Denham Capital, a global energy and resources private equity firm.
