Orrick Advises Seacrest in OKEA’s Purchase of Norwegian Oil Field Interests From Shell

Orrick represented Bermuda-based oil and gas private equity group Seacrest Capital — the majority shareholder in Norwegian E&P company OKEA AS — in OKEA’s $526 million acquisition of Royal Dutch Shell’s interests in the Draugen and Gjøa fields offshore Norway.

As part of the deal, Orrick advised Seacrest on its negotiation of a strategic partnership with Thai oil and gas company Bangchak Corporation, including Bangchak’s $130 million investment in OKEA.

Wolf Theiss advises RBI on the Placement of a Benchmark Bond

After having finalized a benchmark sized issue of a green bond in July 2018, Raiffeisen Bank International AG (RBI) has placed another benchmark sized bond issue in an aggregate principal amount of EUR 500 million. The Wolf Theiss DCM (Debt Capital Markets) team was again in charge of providing RBI with legal advice. The transaction was closed on 4 December, 2018.

GateHouse Logistics A/S provides tracking solutions and data to the logistics industry. Project44 Inc. provides a cloud-based platform to the logistics industry that connects, automates and provides visibility into key transportation processes. The sellers, GateHouse Logistics A/S and Project 44 Inc. will also closely collaborate in the future setup.

Leading international law firm Clifford Chance has advised L Catterton Asia on its significant investment in Will's Group, the holding company of Will's Fitness, China’s leading provider of membership-based fitness facilities and services, with more than 130 fitness clubs across 12 cities.

The investment will help accelerate the growth of Will's Fitness in the premium fitness sector. L Catterton Asia is the Asian unit of the largest consumer-focused private equity firm in the world, formed through the partnership of Catterton, LVMH and Groupe Arnault.

HERBERT SMITH FREEHILLS ADVISES PATRIZIA ON SALE OF METRO AG HEADQUARTERS

Global law firm Herbert Smith Freehills has advised Patrizia Frankfurt Kapitalverwaltungsgesellschaft mbH (formerly known as Triuva Kapitalverwaltungsgesellschaft mbH) on the sale of the Metro AG corporate headquarters in Düsseldorf to Arminius Kapitalgesellschaft mbH.

The property comprises seven buildings with a total rental area of more than 75,000 square meters, spread over a plot of land measuring approximately 45,000 square meters. Metro AG uses the property as its corporate headquarters.
