PARTNER MOVES - DWF appoints new Managing Partner of DWF Qatar

International legal business DWF has appointed a team of construction and corporate lawyers from K&L Gates' Doha office, including head of infrastructure and energy Kirk Durrant.

Kirk brings with him a legal director, two associates and one paralegal. Kirk will also take on the role on Managing Partner of DWF Qatar.

DWF secured a practising license for Qatar earlier this year in order to strengthen its Middle East presence and in response to client demand in the region.

Baker McKenzie legal advisor in the sale of Alphamin SA to Brenntag Group

Baker McKenzie has advised KeBeK Private Equity in the sale of all shares of Belgian specialty chemicals distributor Alphamin SA and its US subsidiary based in New Jersey to the German global market leader in chemical distribution Brenntag. With this transaction, KeBeK Private Equity closes its fourth deal of the past few months.
 

Surya Prakash Vietnam Energy Company develops first solar power project in Vietnam under new Vietnamese solar power regulations

Jones Day is advising Surya Prakash Vietnam Energy Company Limited, a subsidiary of India's Shapoorji Pallonji Infrastructure Capital, in connection with its Phase 1 development of a 50MW grid connected solar power project in Ninh Thun Province in Vietnam. Surya Prakash Vietnam Energy Company Limited has entered into a 20 years' power purchase agreement with the Electricity Power Trading Company of Vietnam making this the first power purchase contract signed for a solar project in Vietnam.

Davis Polk Advises AstraZeneca on Its $3 Billion SEC-Registered Notes Offering

Davis Polk advised AstraZeneca PLC in connection with its SEC-registered shelf takedown of $850 million aggregate principal amount of 3.500% notes due 2023, $400 million aggregate principal amount of floating rate notes due 2023, $1 billion aggregate principal amount of 4.000% notes due 2029 and $750 million aggregate principal amount of 4.375% notes due 2048.

WilmerHale Counsels Lydall in Acquisition of Interface Performance Materials

Lydall, Inc., a provider of specialty engineered products for the thermal/acoustical and filtration/separation markets, announced on August 9, 2018 its agreement to acquire Interface Performance Materials, a provider of gasket and specialty materials, for $265 million. Lydall expects the transaction to further advance its engineered materials offering in new markets with similar technologies utilized in Interface’s business.

DLA Piper advises Transmashholding on joint venture with Hitachi to produce traction inverters in Russia

DLA Piper has advised Russia's largest manufacturer of locomotives and rail equipment, Transmashholding, on its joint venture with Japanese industrial conglomerate, Hitachi, to produce traction inverters for passenger trains in Russia.

Per conditions of the agreement, the JV will use manufacturing capacities of Metrowagonmash, a subsidiary of Transmashholding, to manufacture high-performance traction inverters in Russia. Transmashholding will own 51 percent of the JV authorized capital of RUB375 million, Hitachi will own 49 percent.

Osborne Clarke advises Equitix and Campus Living Villages on Durham University accommodation deal

International legal practice Osborne Clarke has advised leading UK infrastructure manager and developer, Equitix, and global operator and investor in student accommodation, Campus Living Villages, on a joint venture accommodation development project with Durham University.

The scheme – the Mount Oswald project – forms part of the University’s strategy to deliver world-class research, education and wider student experience.  It will see the construction of two new college facilities totalling nearly 1,000 additional rooms.

Osborne Clarke advises EQT Ventures on its joint acquisition of Banking Circle

Osborne Clarke in Sweden has advised international venture capital fund, EQT Ventures on EQT VIII Fund and EQT Ventures’ joint acquisition of Banking Circle from Saxo Bank A/S and other minority owners.

Banking Circle provides a banking platform that enables online cross-border payments. Banking Circle has around 85 employees and is headquartered in Denmark, with offices in Denmark, Luxembourg and the UK.

Partner Mikael Moreira and Associate Kim Bergman from Osborne Clarke’s Stockholm office advised on the transaction.

Slaughter and May advised CEVA Logistics AG on its comprehensive $1.4bn refinancing

Slaughter and May advised CEVA Logistics AG (CEVA), a leading contract logistics and freight management provider, on the refinancing of its existing financing arrangements (the Refinancing). The Refinancing follows CEVA’s successful IPO on the SIX Swiss Exchange earlier this year.

The Refinancing involved:

    the establishment of a new senior secured credit facility agreement, comprising a $585,000,000 revolving credit facility and a $475,000,000 term loan B facility,  governed by English law (the Facilities); and
