Taylor Wessing advises Nauta Capital on a financing round for recruiting platform Talentry

Talentry GmbH, a provider of cloud-based recruitment solutions, has raised six million euros in a series A financing round. The round was led by the venture capital firm Nauta Capital, which did it’s first investment in Germany. The international law firm Taylor Wessing advised Nauta Capital on all aspects of the financing round. Alongside Nauta Capital, inter alia, Rocket Internet’s Global Founders Capital, Allgeier SE, the founders of Celonis and Carsten Thoma, founder of Hybris, participated in the financing round.

KWM advises on MST sale

King & Wood Mallesons (KWM) advised the shareholders of MST Global Holdings Pty Ltd (MST), including major shareholder Macquarie Capital, on its sale to Odyssey Private Equity. 
 
Following a competitive sale process, Odyssey is set to take a controlling stake in MST - which is a leader in providing unified communications, data infrastructure, real-time tracking and asset management solutions for harsh and mobile industrial environments.
 

Hogan Lovells advises Gothaer on the sale of their Polish subsidiary Gothaer TU

Led by Dusseldorf Partner Christoph Louven and Counsel Guido Brockhausen Hogan Lovells has advised Gothaer group on the sale of its Polish subsidiary Gothaer Towarzystwo Ubezpieczen (Gothaer TU) to Vienna Insurance Group.

Gothaer group acquired Gothaer TU in 2010, since then Gothaer TU could increase its premium volume by 30 percent. Gothaer TU administrates approx. two million insurance contracts and supports more than 632,000 customers; currently Gothaer TU has 530 employees.

Herbert Smith Freehills advises TransGrid on its $4.2 billion refinancing

Herbert Smith Freehills has advised TransGrid on the refinancing of $4.2 billion of senior bank facilities with a syndicate of Australian and international banks. Financial close was achieved on 7 June 2018.

The refinancing comes after TransGrid’s successful 2016 and 2017 US Private Placements and provides TransGrid with diversification of its maturity profile to facilitate access to capital markets while retaining meaningful exposure to the domestic bank market.

Herbert Smith Freehills advises on Victoria’s Lal Lal Wind Farms

Herbert Smith Freehills has advised Macquarie Capital and the project companies on the project development, corporate sale, offtake arrangements and project financing of the 228MW Lal Lal Wind Farms to be developed in Victoria’s Central Highlands.

Comprised of the Elaine and Yendon wind farms, the Lal Lal Wind Farms will consist of 60 Vestas V136 3.8MW turbines and once operational will produce enough green energy to power about 95,000 homes and save 780,000 tonnes of carbon dioxide each year. The project achieved financial close on 15 June 2018.

Linklaters has advised Cerberus on the purchase of WFS from Platinum Equity.

Founded in 1971, WFS is the world’s largest air cargo handler and one of the leading providers of ground handling and technical services with annual revenues of over €1.2 billion. Its 22,800 employees serve over 300 airlines at 198 major airports in 22 countries on five continents.

Ashurst advises Jemena on an agreement with Senex Energy to build, own and operate the Atlas Gas Processing Plant and Pipeline

Ashurst has advised Jemena Limited on its Gas Processing and Transport Agreement and a Project Agreement with Senex Energy to build, own and operate the Atlas Gas Processing Plant and Pipeline (AGPP).

The AGPP will connect Senex’s new ‘Atlas’ gas field in the Surat Basin in south-east Queensland with Jemena’s Darling Downs Pipeline and the Wallumbilla Gas Hub - the largest gas hub in Australia.

Ashurst advises on the acquisition and financing of Le Balthazar office building in France

International law firm Ashurst advised French asset manager La Française Real Estate Partners, acting on behalf of Hyundai Investment Asset Management and a group of Korean investors, on the acquisition and financing of "Le Balthazar", an office building located in Saint-Denis, France.

The property develops circa 35,000 square meters over eight stories and is comprised of two wings, connected by an atrium. The office areas are 100% let to a leading telecommunications group, under a long-term lease.

Clifford Chance advises TH Real Estate on the pre-let of 70 St Mary Axe in the City of London Clifford Chance has advised TH Real Estate, on behalf of the Cityhold Office Partnership (CHOP), on the pre-let of its development at 70 St Mary Axe, also known as the 'Can of Ham' to international US law firm Sidley Austin LLP. Sidley Austin LLP is agreeing to take more than a third of the building, approximately 100,000 sq ft, for a term of twenty years together with options on a further 34,000 sq ft.

Baker McKenzie legal advisor to FSN Capital in large IT transaction

FSN Capital V has entered into an agreement to acquire the IT-companies Office IT-Partner, Zetup and Dicom (in total 20 independent companies).

After the transaction, the newly formed company will employ more than 500 people in 33 places around the country. It will have a total annual turnover of over SEK 1 billion. The goal is to be the Nordic market leader within IT-infrastructure, cloud services and digitalization services.
