DWF advises on the initial public offering of virtual reality business Immotion Group

International legal business DWF has advised Immotion Group plc on their initial public offering on the AIM market of the London Stock Exchange.

The DWF team based in Newcastle has acted for Immotion Group since it was incorporated in 2017 and assisted in the forming of the group by way of a three-way cross-border merger which completed at the beginning of this year.

Immotion Group provides immersive 'Out of Home' virtual reality (VR) experiences that are used in theme parks and shopping centres including Genting Resorts World in Birmingham.

Ashurst advises FCC Environment on UK energy from waste refinancing

International law firm Ashurst advised FCC Environment (UK) Limited ("FCC"), the UK subsidiary of Spanish construction company Fomento de Construcciones y Contratas, S.A., on the £207 million restructuring and refinancing of two operational energy from waste facilities in the UK. FCC focuses on the collection, treatment and processing of waste in the UK.

Ashurst advises Invesco on acquisition of 40 and 50 Eastbourne Terrace

International law firm Ashurst has advised Invesco Real Estate on the £110 million acquisition of 40 and 50 Eastbourne Terrace, Paddington from Hermes Real Estate Investment Managers.

40 Eastbourne Terrace is an 85,000 sq. ft. office building which is occupied until 2021, while 50 Eastbourne Terrace has planning consent for a new 90,000 sq. ft. office and retail scheme with a terrace of seven mews townhouses. The two buildings sit directly opposite Paddington station, which will welcome the Elizabeth Line from the end of the year.

BCLP advises EACS on acquisition of Sentronex

International law firm Bryan Cave Leighton Paisner (“BCLP”) have advised EACS, a company focussed on professional managed solutions in the IT sector, including cloud based solutions and cybersecurity, on its acquisition of privately held IT services company Sentronex. Founded in 2005, Sentronex provides high quality disaster recovery and IT managed and professional services to the UK’s City financial organisations.

Organic growth and acquisitions have seen EACS grow by over 25 per cent in the last 18 months as it becomes a key challenger brand.

Hogan Lovells advises Shop Apotheke on the acquisition of nu3 GmbH

Led by Düsseldorf Partner Birgit Reese Hogan Lovells has advised Shop Apotheke Europe Group on the acquisition of nu3 GmbH, Berlin, the specialist for functional nutrition products.

The parties agreed on a consideration by means of an issue of 54,470 new shares of Shop Apotheke Europe in bearer form and an additional cash payment. The issuance of new shares and the exclusion of the pre-emptive rights in relation thereto have been approved by the supervisory board of Shop Apotheke Europe.

Slaughter and May advised Aviva plc on the update of its £7 billion Euro Note Programme. The programme enables Aviva plc to issue senior notes and subordinated notes capable of qualifying as Tier 3 capital and Tier 2 capital for regulatory purposes. Citigroup Global Markets Limited is the arranger of the programme.

TLT advises Eelpower on major energy storage acquisition

TLT has advised Eelpower Limited on its acquisition of one of the UK's largest energy storage schemes from Anesco for an undisclosed sum.

The recently-completed 20MW Rock Farm scheme is located near Ludlow, Shropshire and is connected to the local grid, which is owned and operated by Western Power Distribution. Rock Farm comprises 16 1.25MW BYD-manufactured storage units and was developed and constructed by Anesco. It was commissioned by the company in June 2018.

Baker McKenzie Advises HIL Limited on Acquisition of Parador Group

Baker McKenzie advised India based HIL Limited on the acquisition of the Parador Holding GmbH from NORD HOLDING COMPANY COMPANY MbH and DEUTSCHE MITTELSTANDSHOLDING FÜR INDUSTRIEBETEILIGUNGEN GmbH & Co. KG.

The transaction is subject to customary regulatory approval and is expected to close in August.

Baker McKenzie advised HIL Limited on all legal aspects of the transaction.

Orrick Advises Lenders in €300 Million Financing of High-Speed Internet Network in France

Orrick’s Paris team advised a pool of lenders, including Arkéa Banque Entreprises et Institutionnels, BNP Paribas, Caisse d’Épargne et de Prévoyance de Midi-Pyrénées, Caisse d’Épargne et de Prévoyance de Midi-Pyrénées, Crédit Foncier de France, la Banque Postale and Société Générale, in the €300 million financing of a public service delegation contract for the rollout of a high-speed Internet network in the region of Haute-Garonne, France.
