Oddo BHF’s Capital Increase With Preferential Subscription Rights of CGG

Shearman & Sterling advised Oddo BHF, acting as global coordinator and joint bookrunner, in connection with CGG’s capital increase with preferential subscription rights by way of an issuance of shares of CGG (the “New Shares”), each with one warrant attached (the “Warrants #2”)  of approximately €112.2 million (including share premium). The rights issue was oversubscribed with a total demand of approximately € 132.5 million, representing approximately 118% of the offer.

Kirkland & Ellis Advises GIC on Acquisition of Stake in AccorInvest

Kirkland & Ellis is representing GIC, Singapore’s sovereign wealth fund, as part of a consortium acquiring a 55% a stake in the real estate assets of French multinational hotel group AccorHotels. Under the agreement, signed on February 27, 2018, the consortium will buy a majority stake in AccorInvest, a world leader in hotel real estate with a current portfolio of 891 hotels in 27 countries, for approximately €4.4 billion. AccorInvest will continue to be operated by AccorHotels under very-long-term contracts.

Clifford Chance has advised Global Jet Capital, Inc., as servicer, and Business Jets Securities LLC, as issuer, on the issuance of $496,810,000 Class A Notes Series 2018-1, $74,150,000 Class B Notes Series 2018-1 and $37,070,000 Class C Notes Series 2018-1 rated A (sf), BBB (sf) and BB (sf), respectively, by Kroll Bond Rating Agency. The Notes are secured by cash flow generated by various leases and loans of business jet aircraft serviced by Global Jet Capital, Inc. This is the first ABS capital markets financing backed exclusively by business jet assets.

Dentons advises Fidelio Healthcare on the acquisition of Mundipharma's production site in Limburg

Dentons has advised Fidelio Healthcare on the takeover of Mundipharma’s production site in Limburg, Germany. Under the terms of the transaction, Fidelio Healthcare will acquire the production site, the production facilities and the majority of employees from Mundipharma Limburg. Fidelio Healthcare plans to make strategic changes to the production site and further expand operations, and in doing so, will preserve approximately 100 jobs. The agreement was signed on February 20, 2018. Closing of the transaction is subject to approval by the competent antitrust authorities.

Dentons advises Tenaga Nasional Berhad on the Malaysian energy provider's first foray into onshore wind in the UK

Dentons has advised Tenaga Nasional Berhad ("TNB"), one of the largest utility players in Asia, with a market capitalisation of RM89.2 billion (c. £16.5bn) as at 26 February 2018, on its acquisition of an 80 per cent shareholding in two UK renewable companies, GVO Wind Limited and Bluemerang Capital Limited. The acquisition, which has an enterprise value of approximately £171 million, is the Malaysian energy provider's first foray into onshore wind in the UK.

Linklaters advises as Egypt raises $4bn in bond issue

Linklaters has advised on the recent $4bn bond issue by the Egyptian sovereign. The bonds were issued at three maturities with a five-year and 10-year tranche raising $1.25bn each and a 30-year tranche raising $1.5bn.

The bonds are listed solely on the London Stock Exchange, taking the total number of African sovereign bonds listed in London to 19, including those by Gabon, Ghana, Nigeria and Zambia.
